Operating Plans. - On or before September 30 in each year during the Term (or such other date or dates in any year during the Term as the Buyer may from time to time request), the Seller will provide to the Buyer its Operating Plan for the 16-month period commencing on November 1 of the same year (or for such other period and/or commencing on such other date during the Term, as the Buyer may from time to time request). The Seller will promptly provide the Buyer with a revised Operating Plan upon the Seller becoming aware of any expected material change in the then current Operating Plan for that period. The Parties agree that the Operating Plan is provided for planning purposes and does not guarantee or limit the quantity or timing of Seller’s delivery of Energy to the POI. The Seller will ensure that all Operating Plans are consistent with Good Utility Practice. [Note: This provision will only be required if the Plant Capacity of the Seller’s Plant is greater than 25MW.]
