Ongoing Support. Summit Learning shall provide ongoing support and coaching to the Partner School through the provision of a mentor (a “Summit Learning Mentor”) during the first four school years in which the Partner School participates in the Program. In connection therewith, Summit Learning agrees to make available to the Partner School: ● A Summit Learning Mentor who will provide support through regular weekly or bi­weekly coaching calls, and to the extent the Partner School and Summit Learning deem necessary, school visits, in order to support the Partner School through the change management process as the Partner School implements Summit Learning; ● Access to a nationwide community of Summit Learning educators and an invitation to share best practices, challenges and more; ● Access to a library of resources (e.g. presentation templates for parent nights, Summit Learning classroom posters, etc.); and ● Access to webinars, on­demand training sessions, and in­person training sessions and workshops from a range of Summit Learning teams, including engineering and communications.
Ongoing Support. Subject to Section 9.4, Provider shall provide to Company, and Company shall pay the costs of, the following support in relation to any actual or potential divestments: (i) Assist Company in planning, preparing and implementing any transition or changes related to the Services as a result of such divestment; (ii) Perform infrastructure changes as a result of such divestment; (iii) Perform increased data and physical security as a result of such divestment; and (iv) Perform increased disaster recovery planning.
Ongoing Support. Other than for initial integration support as provided in the preceding subparagraph, technical support shall be provided as set forth below. i. In the event that API User experiences any technical issues related to the zingfit System, API User must resolve such technical issues directly with the zingfit Client with whom API User is attempting to make or book a Reservation (and/or make a related purchase) – e.g., API User must resolve such technical issues directly with such zingfit Client. ii. With respect to technical issues regarding the functionality of the API, zingfit agrees to provide support to API User Monday through Friday from 8am to 6pm EST to address such technical API issues. For issues that arise outside of these standard business hours, API User can submit an urgent ticket via zingfit’s support website, which will notify zingfit’s support staff. zingfit agrees to use commercially reasonable efforts to resolve technical issues that might arise with respect to the functionality of the API. iii. Absent a formal written agreement between API User and zingfit, the only support for the API (other than the support as specified above) will be provided at zingfit’s sole discretion via zingfit’s website in the form of instructions, “help” explanations, user forums, FAQ's, or other internet-based documentation (e.g., support will not be provided so as to educate how the zingfit System or API can or may be used).
Ongoing Support. Answer questions, attend meetings, and make presentations as appropriate to support the bond program.

Throughout the term of this Agreement, XXXX will provide on-site and virtual training as necessary to ensure both current and future staff members involved in the administration of the OFPRF understand and can effectively utilize the OFPRF. b. Not less than monthly, XXXX will provide the City with a report or reports that: (i) identifies properties that register each month and the amount of registration fees collected, as well as amounts remitted back to Crest Hill (ii) identifies properties that are under the obligation to register that have not registered and are noncompliant.

Ongoing Support. (a) Upon commencement of the operation of Shorewood's Project(s), KAI shall continue to assist with the expansion of operations. (b) KAI will further provide assistance with any operational issues that arise, including the identification of sources of raw materials, labor and equipment. With over 15 years experience in the China market, KAI is well positioned to assist with the establishment of accounting, billing and collection procedures, and will provide such assistance. (c) KAI will utilize its comprehensive network in order to assist Shorewood with the identification of suitable management personnel.
Ongoing Support. Liquidmetal shall provide GraceMetal ongoing support as reasonably necessary after commissioning of the Equipment. As a part of such support, Liquidmetal will advise and consult with GraceMetal regarding the use, maintenance and operation of the Equipment, including by making available a qualified technician available at GraceMetal’s facility in China at reasonable times and upon reasonable notice. In connection with the provision of such support services, GraceMetal shall bear all travel, transportation, accommodation, food and beverage and similar costs associated with such services plus a per diem charge to be agreed upon by Liquidmetal and GraceMetal. As a part of this support, for critical situations where the Equipment is not operational, Liquidmetal will use reasonable commercial efforts to make available a qualified technician upon five (5) business daysprior notice, at GraceMetal’s facility in China.
