Refusal of Supply Clause Samples
The Refusal of Supply clause grants a party, typically a supplier, the right to withhold goods or services from a customer under certain conditions. This may apply if the customer fails to meet payment obligations, breaches contract terms, or engages in unlawful or unethical conduct. By clearly outlining the circumstances under which supply can be refused, this clause protects the supplier from potential losses and ensures that business is conducted according to agreed standards.
Refusal of Supply. The Transporter will not be required to supply the Service to the Shipper, and may suspend (completely or partially) provision of the Service to the Shipper if:
(a) an Event of Insolvency occurs in respect of the Shipper; or
(b) after the Transporter’s request, the Shipper fails within a reasonable period to establish or confirm the Shipper's creditworthiness in accordance with clause 30.2, but the Shipper's obligation to pay money under this agreement is in no way thereby reduced.
Refusal of Supply. The Service Provider will not be required to supply the Nitrogen Removal Service to the Customer, and may suspend (completely or partially) provision of the Nitrogen Removal Service to the Customer if:
(a) a Event of Insolvency occurs in respect of the Customer; or
(b) after the Service Provider’s request, the Customer fails within a reasonable period to establish or confirm the Customer's creditworthiness in accordance with clause 29.2, but the Customer's obligation to pay money under this agreement is in no way thereby reduced.
Refusal of Supply. The Supplier may refuse to supply further Products, without giving prior notice. The Supplier is not liable for loss or damage if it refuses to supply.
