Offshore Global Notes Sample Clauses
The Offshore Global Notes clause defines the terms and conditions under which debt securities are issued and held in the form of global notes outside the United States, typically to comply with international securities regulations. These notes are usually deposited with a common depositary or custodian for a clearing system, such as Euroclear or Clearstream, and are not physically distributed to individual investors. This arrangement facilitates the efficient transfer and settlement of securities among non-U.S. investors while ensuring compliance with U.S. securities laws by restricting direct access to the U.S. market.
Offshore Global Notes. (a) Each Note originally sold by the Initial Purchasers in reliance upon Regulation S will be evidenced by one or more Offshore Global Notes that bear the Regulation S Legend. During the Restricted Period, beneficial interests in the Offshore Global Note may only be transferred to or for the account or benefit of Non-U.S. Persons (other than an Initial Purchaser), unless permitted by applicable law.
Offshore Global Notes. Each Note originally sold by the Initial Purchasers in reliance upon Regulation S will be evidenced by one or more Offshore Global Notes that bear the Regulation S Legend.
Offshore Global Notes. (a) Each Note originally sold by the Initial Purchasers in reliance upon Regulation S will be evidenced by one or more Offshore Global Notes bearing the Temporary Offshore Global Note Legend and subject to the restrictions set forth in such Temporary Offshore Global Note Legend.
(b) Upon expiration of the Restricted Period, the Temporary Offshore Global Note Legend will be removed from each Offshore Global Note.
(c) Notwithstanding any provisions to the contrary in this Sixth Supplemental Indenture, Offshore Global Notes shall be treated as Global Notes in the application of all provisions of the Indenture and this Sixth Supplemental Indenture, except in the application of the provisions of this Section 3.2 and Section 4.7(c) hereof.
