Office and Personnel. The Company shall maintain on behalf of the Service Company such office space, equipment and personnel, including officers and employees of the Company, as it deems necessary or advisable in connection with the management and operations of the correctional and detention facilities managed by the Service Company and the fulfillment of the Company's duties as set forth herein.

Office and Personnel. The REIT Manager shall maintain on behalf of the Company such office space, equipment and personnel, including officers and employees of the REIT Manager of its Affiliates, as it deems necessary or advisable in connection with the management and operations of the Company and the fulfillment of the REIT Manager's duties as set forth herein.
Office and Personnel. During the Term of this Agreement, the Bank shall provide Employee with such office space and support personnel as are reasonably necessary to be sufficient to enable Employee to perform the duties and responsibilities set forth in Section 2.01 of this Agreement.

Without limiting the foregoing, in the event any supplemental or special real property taxes or assessments are levied prior to Closing, but are due and payable in one or more installments subsequent to the Closing, such supplemental or special real property taxes or assessments shall be allocated on a pro rata basis over the applicable payment period in question and prorated between Seller and Buyer as of the Proration Date. Notwithstanding any of the terms and conditions to the contrary contained in this Section 11.2(a)(iii), in the event any such Taxes are paid for directly by the Tenants to the applicable taxing authorities, such Taxes shall be not prorated between Seller or Buyer

  • Benefits and Perquisites Executive shall be entitled to participate in, to the extent Executive is otherwise eligible under the terms thereof, the benefit plans and programs, and receive the benefits and perquisites, generally provided by the Company from time to time to senior executives of the Company, including without limitation family medical insurance (subject to applicable employee contributions). Executive shall be entitled to receive four weeks of vacation, in accordance with Company policy.

  • Authority to Execute and Perform Agreements Empirical and the Trust each represent that it has the full legal right and power and all authority and approval required to enter into, execute and deliver this Agreement and to perform its respective obligations hereunder.
