Offering Expense Reimbursement Clause Samples
Offering Expense Reimbursement. The Underwriters have agreed to make a payment to the Company in an amount equal to $800,000, or up to $900,000 if the Over-Allotment Option is exercised in full, to reimburse the Company for certain expenses in connection with the Offering and for expenses to be incurred by the Company following the Offering as a public company. Such reimbursement payments will to be made at the Closing Date and the Option Closing Date, as the case may be.
Offering Expense Reimbursement. The Underwriters have agreed to reimburse the Company, subject to the closing of the Offering, pursuant to the terms and conditions and in reliance upon the representations and warranties herein set forth, for certain expenses incurred by the Company in an amount of 0.25% of the gross proceeds of the Offering.
