Common use of OFAC; Beneficial Ownership Regulation Clause in Contracts

OFAC; Beneficial Ownership Regulation. Neither the Company, nor any of its Subsidiaries, nor, to the knowledge of the Company and its Subsidiaries, any director, officer, employee, agent, affiliate or representative thereof, is an individual or entity that is, or is owned or controlled by any individuals or entities that are (i) the target of any Sanctions, or (ii) located, organized or resident in a Designated Jurisdiction. As of the Amendment No. 3 Effective Date, the Company is not a “legal entity customer” under the Beneficial Ownership Regulation.
