Common use of Obligations to Third Parties Clause in Contracts

Obligations to Third Parties. Notwithstanding any of the foregoing, each Party’s rights and obligations with respect to Licensed Technology under this ARTICLE 7 will be subject to the Third Party rights and obligations under any (i) New Third Party License the restrictions and obligations of which Biogen Idec has agreed to under Section 6.8.2, (ii) Prior Agreements, and (iii) Isis In-License Agreements; provided, however, that, to the extent that Isis has a non-transferable right to prosecute, maintain or enforce any Patent Rights licensed to Biogen Idec hereunder and, this Agreement purports to grant any such rights to Biogen Idec, Isis will act in such regard with respect to such Patent Rights at Biogen Idec’s direction.

Notwithstanding any of the foregoing, each Party’s rights and obligations with respect to Licensed Technology under this ARTICLE 7 6 will be subject to the Third Party rights and obligations under any (i) New Third Party License the restrictions and obligations of which Biogen Idec has agreed to under Section 6.8.26.13.2, (ii) Prior Agreements, and (iii) Isis Ionis In-License Agreements; provided, however, that, to the extent that Isis Xxxxx has a non-transferable right to prosecute, maintain or enforce any Patent Rights licensed to Biogen Idec hereunder and, this Agreement purports to grant any such rights to Biogen IdecBiogen, Isis Ionis will act in such regard with respect to such Patent Rights at Biogen IdecBiogen’s direction.

Notwithstanding any of the foregoing, each Party’s rights and obligations with respect to Licensed Technology under this ARTICLE 7 will be subject to the Third Party rights and obligations under any (ia) New Third Party License License, the restrictions and obligations of which Biogen Idec has agreed to under Section 6.8.2, (iib) Prior Agreements, Agreements and (iiic) Isis Ionis In-License Agreements; provided, however, that, to the extent that Isis Ionis has a non-transferable right to prosecute, maintain or enforce any Patent Rights licensed to Biogen Idec hereunder and, and this Agreement purports to grant any such rights to Biogen IdecBiogen, Isis Ionis will act in such regard with respect to such Patent Rights at Biogen IdecBiogen’s direction.
