Common use of Obligations of Merger Sub Clause in Contracts

Obligations of Merger Sub. Parent shall take all action necessary to cause Merger Sub (and, after the Effective Time, the Surviving Company) to perform its respective obligations under this Agreement. For the avoidance of doubt, any violation of the obligations of Merger Sub (or, after the Effective Time, the Surviving Company) under this Agreement shall also be deemed to be a breach of this Agreement by Parent.

Obligations of Merger Sub. Parent shall take all action necessary to cause each of Merger Sub (and, after the Effective Time, and the Surviving Company) Company to perform its respective obligations under this Agreement. For the avoidance of doubt, any violation breach by Merger Sub of the obligations covenants of Merger Sub (or, after the Effective Time, the Surviving Company) under this Agreement shall also be deemed to be a breach of this Agreement by Parent.

For the avoidance of doubt, any violation of the obligations of Parent and Merger Sub (orwill be jointly and severally liable for the failure by either of them to perform and discharge any of their respective covenants, after the Effective Time, the Surviving Company) under agreements and obligations pursuant to this Agreement shall also be deemed to be a breach of this Agreement by ParentAgreement.
