Common use of Notice to Lessees Clause in Contracts

Notice to Lessees. The Servicer will not be required to notify any Lessee that such Lessee's Lease or related Equipment has been sold, transferred, assigned or conveyed to the Seller pursuant to the Contribution and Sale Agreement or to the Issuer pursuant to this Agreement or pledged to the Indenture Trustee pursuant to the Indenture; provided that, in the event that any Servicer resigns or is replaced, then if the place for payment pursuant to any Lease is changed, the Successor Servicer shall prior to such change give each related Lessee prompt written notice of the appointment of the Successor Servicer and the place to which such Lessee should make payments pursuant to each such Lease, and the Servicer that resigned or has otherwise been replaced shall promptly transfer to the Successor Servicer any payments it receives after such resignation or replacement.
