Common use of Notice of Proposed Transfer Clause in Contracts

Notice of Proposed Transfer. The Holder of the Shares shall deliver to the Company a written notice (the “Notice”) stating: (i) the Holder’s bona fide intention to sell or otherwise transfer such Shares; (ii) the name of each proposed purchaser or other transferee (“Proposed Transferee”); (iii) the number of Shares to be transferred to each Proposed Transferee; and (iv) the bona fide cash price or other consideration for which the Holder proposes to transfer the Shares (the “Offered Price”), and the Holder shall offer the Shares at the Offered Price to the Company or its assignee(s).

Notice of Proposed Transfer. The Holder of the Shares shall deliver to the Company a written notice (the “"Notice”") stating: (i) the Holder’s 's bona fide intention to sell or otherwise transfer such Shares; (ii) the name of each proposed purchaser or other transferee (“"Proposed Transferee”"); (iii) the number of Shares to be transferred to each Proposed Transferee; and (iv) the bona fide cash price or other consideration for which the Holder proposes to transfer the Shares (the “"Offered Price”"), and the Holder shall offer the Shares at the Offered Price to the Company or its assignee(s).

The Holder shall offer the Shares at the same price (the "Offered Price Price") and upon the same terms (or terms as similar as reasonably possible) to the Company or its assignee(s).

Notice of Proposed Transfer. The In the event any Holder of desires to Transfer any Shares, the Shares Holder shall deliver to the Company a written notice (the “Notice”) stating: (iw) the Holder’s bona fide intention to sell or otherwise transfer Transfer such Shares; (iix) the name of each proposed purchaser or other transferee (“Proposed Transferee”); (iiiy) the number of Shares to be transferred Transferred to each Proposed Transferee; and (ivz) the bona fide cash price or other consideration for which the Holder proposes to transfer Transfer the Shares (the “Offered Price”), and the Holder shall offer the such Shares at the Offered Price to the Company or its assignee(s).

The Holder of the Offered Shares shall will deliver to the Company a written notice (the “Notice”) stating: (ia) the Holder’s bona fide intention to sell or otherwise transfer such the Offered Shares; (iib) the name and address of each proposed purchaser or other transferee (the “Proposed Transferee”); (iiic) the number of Offered Shares to be transferred to each Proposed Transferee; and (ivd) the bona fide cash price or other consideration for which the Holder proposes to transfer the Offered Shares (the “Offered Price”), ; and (e) that the Holder shall acknowledges this Notice is an offer to sell the Offered Shares to the Company and/or its assignee(s) pursuant to the Company’s Right of First Refusal at the Offered Price to the Company or its assignee(s)as provided for in this Agreement.

The Holder of the Award Shares shall deliver to the Company a written notice (the “Notice”) stating: stating (i) the Holder’s bona fide intention to sell or otherwise transfer such Award Shares; , (ii) the name of each proposed purchaser or other transferee (“Proposed Transferee”); , (iii) the number of Award Shares to be transferred to each Proposed Transferee; , and (iv) the bona fide cash price or other consideration for which the Holder proposes to transfer the Award Shares (the “Offered Price”); in addition, and by providing the Notice, the Holder shall offer is deemed to be offering to sell the Shares at the Offered Price to the Company or its assignee(s)the Stockholders, as the case may be.

Notice of Proposed Transfer. The Holder of the Shares shall deliver to the Company a written notice (the “Notice”) stating: (iA) the Holder’s bona fide intention to sell or otherwise transfer such Shares; (iiB) the name of each proposed purchaser or other transferee (“Proposed Transferee”); (iiiC) the number of Shares to be sold or transferred to each Proposed Transferee; and (ivD) the bona fide cash terms and conditions of each proposed sale or transfer, including (without limitation) the purchase price or other consideration for which the Holder proposes to transfer the such Shares (the “Offered Transfer Purchase Price”), ; and (E) the Holder shall Holder’s offer the Shares at the Offered Price to the Company or its assignee(s) to purchase the Shares at the Transfer Purchase Price and upon the same terms (or terms that are no less favorable to the Company).

The Holder of the Offered Shares shall will deliver to the Company a written notice (the “Notice”) stating: (i) the Holder’s bona fide intention to sell or otherwise transfer such the Offered Shares; (ii) the name and address of each proposed purchaser or other transferee (the “Proposed Transferee”); (iii) the number of Offered Shares to be transferred to each Proposed Transferee; and (iv) the bona fide cash price or other consideration for which the Holder proposes to transfer the Offered Shares (the “Offered Price”), ; and (v) that the Holder shall acknowledges this Notice is an offer to sell the Offered Shares to the Company and/or its assignee(s) pursuant to the Company’s Right of First Refusal at the Offered Price to the Company or its assignee(s)as provided for in this Agreement.

The Holder of the Shares Units shall deliver to the Company a written notice (the “Notice”) stating: (i) the Holder’s bona fide intention to sell or otherwise transfer such SharesUnits; (ii) the name of each proposed purchaser or other transferee (“Proposed Transferee”); (iii) the number of Shares Units to be transferred to each Proposed Transferee; and (iv) the bona fide cash price or other consideration for which the Holder proposes to transfer the Shares Units (the “Offered Price”), and the Holder shall offer the Shares Units at the Offered Price to the Company or its assignee(s).

The Holder of the Shares shall deliver to the Company Corporation a written notice (the “Notice”) stating: (i) the Holder’s bona fide intention to sell or otherwise transfer such Shares; (ii) the name of each proposed purchaser or other transferee (“Proposed Transferee”); (iii) the number of Shares to be transferred to each Proposed Transferee; and (iv) the bona fide cash price or other consideration for which the Holder proposes to transfer the Shares (the “Offered Price”), and the Holder shall offer the Shares at the Offered Price to the Company Corporation or its assignee(s).

The Holder of the Option Shares shall deliver to the Company a written notice (the “Notice”) stating: (i) the Holder’s bona fide intention to sell or otherwise transfer such Option Shares; (ii) the name of each proposed purchaser or other transferee (“Proposed Transferee”); (iii) the number of Option Shares to be transferred to each Proposed Transferee; and (iv) the bona fide cash price or other consideration for which the Holder proposes to transfer the Option Shares (the “Offered Price”), and the Holder shall offer the Option Shares at the Offered Price to the Company or its assignee(s).

Notice of Proposed Transfer. The Holder of the Shares shall deliver to the Company a written notice (the “"Notice”") stating: (i) the Holder’s 's bona fide intention to sell or otherwise transfer such Shares; (ii) the name of each proposed purchaser or other transferee (“"Proposed Transferee”"); (iii) the number of Shares to be transferred to each Proposed Transferee; 1 and (iv) the bona fide cash price or other consideration for which the Holder proposes to transfer the Shares (the “"Offered Price”"), and the Holder shall offer the Shares at the Offered Price to the Company or its assignee(s).

The Holder of the Offered Shares shall will deliver to the Company a written notice (the “Notice”"NOTICE") stating: (i) the Holder’s 's bona fide intention to sell or otherwise transfer such the Offered Shares; (ii) the name and address of each proposed purchaser or other transferee (“Proposed Transferee”the "PROPOSED TRANSFEREE"); (iii) the number of Offered Shares to be transferred to each Proposed Transferee; and (iv) the bona fide cash price or other consideration for which the Holder proposes to transfer the Offered Shares (the “Offered Price”"OFFERED PRICE"), ; and (v) that the Holder shall acknowledges this Notice is an offer to sell the Offered Shares to the Company and/or its assignee(s) pursuant to the Company's Right of First Refusal at the Offered Price to the Company or its assignee(s)as provided for in this Exercise Agreement.

The Holder of the Option Shares shall deliver to the Company a written notice (the “Notice”) stating: (i) the Holder’s bona fide intention to sell or otherwise transfer such Option Shares; (ii) the name of each proposed purchaser or other transferee (the “Proposed Transferee”); (iii) the number of Option Shares to be transferred to each Proposed Transferee; and (iv) the bona fide cash price or other consideration for which the Holder proposes to transfer the Option Shares (the “Offered Price”), and the Holder shall offer the Option Shares at the Offered Price to the Company or its assignee(s).
