Common use of Notice of Optional Prepayment Clause in Contracts

Notice of Optional Prepayment. The Company shall give the holder of each Note of a Series to be prepaid pursuant to paragraph 4C irrevocable written notice of such prepayment not less than 10 Business Days prior to the prepayment date, specifying such prepayment date, the aggregate principal amount of the Notes of such Series to be prepaid on such date, the principal amount of the Notes of such Series held by such holder to be prepaid on that date and that such prepayment is to be made pursuant to paragraph 4C. Notice of prepayment having been given as aforesaid, the principal amount of the Notes specified in such notice, together with interest thereon to the prepayment date and together with the Yield-Maintenance Amount, if any, herein provided, shall become due and payable on such prepayment date. The Company shall, on or before the day on which it gives written notice of any prepayment pursuant to paragraph 4C, give telephonic notice of the principal amount of the Notes to be prepaid and the prepayment date to each Significant Holder which shall have designated a recipient for such notices in the Purchaser Schedule attached hereto or the applicable Confirmation of Acceptance or by notice in writing to the Company.

The Company shall, on or before the day on which it gives written notice of any prepayment pursuant to paragraph 4C, give telephonic notice of the principal amount of the Notes to be prepaid and the prepayment date to each Significant Holder which shall have designated a recipient for of such notices in the Purchaser Schedule attached hereto or the applicable Confirmation of Acceptance or by notice in writing to the Company.

The Company shall, on or before the day on which it gives written notice of any prepayment pursuant to paragraph 4C, give telephonic notice of the principal amount of the Notes to be prepaid and the prepayment date to each Significant Holder holder of the Notes of such Series which shall have designated a recipient for such notices in the Purchaser Schedule attached hereto or the applicable Confirmation of Acceptance or by notice in writing to the Company.

The Company Issuer shall give the holder of each Note of a Series to be prepaid pursuant to paragraph 4C 4B irrevocable written notice of such prepayment not less than 10 Business Days prior to the prepayment date, specifying such prepayment date, the aggregate principal amount of the Notes of such Series to be prepaid on such date, the principal amount of the Notes of such Series held by such holder to be prepaid on that date and that such prepayment is to be made pursuant to paragraph 4C. 4B. Notice of prepayment having been given as aforesaid, the principal amount of the Notes specified in such notice, together with interest thereon to the prepayment date and together with the Yield-Maintenance Amount, if any, herein provided, shall become due and payable on such prepayment date. The Company Issuer shall, on or before the day on which it gives written notice of any prepayment pursuant to paragraph 4C4B, give telephonic notice of the principal amount of the Notes to be prepaid and the prepayment date to each Significant Holder which shall have designated a recipient for such notices in the Purchaser Schedule attached hereto or the in Purchaser Schedule attached to the applicable Confirmation of Acceptance for such Significant Holder or by notice in writing to the CompanyIssuer.

Notice of Optional Prepayment. The Company shall give the holder of each Note of a Series to be prepaid pursuant to paragraph 4C irrevocable written notice of any prepayment of such prepayment holder's Note pursuant to paragraph 4B not less than 10 Business Days prior to the prepayment date, specifying such prepayment date, the aggregate date of issuance of and the principal amount of the Notes, and of the Notes of held by such Series holder, to be prepaid on such date, the principal amount of the Notes of such Series held by such holder to be prepaid on that date and stating that such prepayment is to be made pursuant to paragraph 4C. 4B. The So long as you shall hold any Note, the Company shall, on or before the day on which it gives written notice of any prepayment pursuant to paragraph 4C4B, give telephonic notice advise an investment professional in the office set forth in the Purchaser Schedule as the office for communication to you, by telephone of the principal amount of the Notes to be prepaid and the prepayment date to each Significant Holder which shall have designated a recipient for such notices in the Purchaser Schedule attached hereto or the applicable Confirmation of Acceptance or by notice in writing to the Companydate.

The Company shall give the holder of each Note of a Series to be prepaid pursuant to either paragraph 4C 4C(l) or 4C(2) irrevocable written notice of such prepayment not less than 10 Business Days prior to the prepayment date, specifying such prepayment date, . the aggregate principal amount of the Notes of such Series to be prepaid on such date, the principal amount of the Notes of such Series held by such holder to be prepaid on that date and that such prepayment is to be made pursuant to paragraph 4C. Notice of prepayment having been given as aforesaid, the principal amount of the Notes specified in such notice, together with interest thereon to the prepayment date and and, in the case of the Series A Notes, together with the Yield Maintenance Amount, if any, calculated as if the interest rate on such Series A Notes were 7.27% per annum and, in the case of the Series B Notes, together with the Yield-Maintenance Amount, if any, herein provided, calculated as if the interest rate on such Series B Notes were 6.56% per annum shall become due and payable on such prepayment datedate (in each case, notwithstanding anything in paragraph 10A to the contrary). The Company shall, on or before the day on which it gives written notice of any prepayment pursuant to paragraph 4C, give telephonic notice of the principal amount of the Notes to be prepaid and the prepayment date to each Significant Holder which shall have designated a recipient for such notices in the Purchaser Schedule attached hereto or the applicable Confirmation of Acceptance or by notice in writing to the Company.

Notice of prepayment having been given as aforesaid, the principal amount of the Notes specified in such notice, together with interest thereon to the prepayment date and together with the Yield-Yield- Maintenance Amount, if any, herein provided, shall become due and payable on such prepayment date. The Company shall, on or before the day on which it gives written notice of any prepayment pursuant to paragraph 4C4B, give telephonic notice of the principal amount of the Notes to be prepaid and the prepayment date to each Significant Holder which shall have designated a recipient for such notices in the Purchaser Schedule attached hereto or the applicable Confirmation purchaser schedule for such Series of Acceptance Notes or by notice in writing to the Company.

Notice of Optional Prepayment. The Company shall give to the holder of each Note of a Series to be prepaid pursuant to paragraph 4C 4B irrevocable written notice of such prepayment pursuant to paragraph 4B with respect to such Series not less than 10 ten (10) Business Days prior to the prepayment date, specifying (i) such prepayment date, (ii) the aggregate principal amount of the Private Shelf Notes of such Series to be prepaid on such date, (iii) the principal amount of the Private Shelf Notes of such Series held by such holder to be prepaid on that date date, and (iv) stating that such optional prepayment is to be made pursuant to paragraph 4C. 4B. Notice of optional prepayment having been given as aforesaid, the principal amount of the Private Shelf Notes specified in such notice, together with interest thereon to the prepayment date and together with the Yield-Yield Maintenance Amount, if any, herein providedwith respect thereto, shall become due and payable on such prepayment date. The Company shall, on or before the day on which it gives written notice of any prepayment pursuant to paragraph 4C4B, give telephonic notice of the principal amount of the Private Shelf Notes to be prepaid and the prepayment date to each Significant Holder holder which shall have designated a recipient for such notices in the Purchaser Schedule attached hereto or the applicable Confirmation of Acceptance or by notice in writing to the Company.

The Company shall, on or before the day on which it gives written notice of any prepayment pursuant to paragraph 4C4B, give telephonic notice of the principal amount of the Notes to be prepaid and the prepayment date to each Significant Holder which shall have designated a recipient for of such notices in the Purchaser Schedule attached hereto or the applicable Confirmation of Acceptance or by notice in writing to the Company.

Notice of prepayment having been given as aforesaid, the principal amount of the Notes specified in such notice, together with interest thereon to the prepayment date and together with the Yield-Maintenance Amount, if any, herein provided, shall become due and payable on such prepayment date. The Company shall, on or before the day on which it gives written notice of any prepayment pursuant to paragraph 4C4B(1), give telephonic notice of the principal amount of the Notes to be prepaid and the prepayment date to each Significant Holder which shall have designated a recipient for such notices in the Purchaser Schedule attached hereto or the applicable Confirmation of Acceptance or by notice in writing to the Company.

Notice of Optional Prepayment. The Company Co-Issuers shall give the holder of each Shelf Note of a Series to be prepaid pursuant to paragraph 4C 4B irrevocable written notice of such prepayment not less than 10 Business Days prior to the prepayment date, specifying such prepayment date, the aggregate principal amount of the Shelf Notes of such Series to be prepaid on such date, the principal amount of the Shelf Notes of such Series held by such holder to be prepaid on that date and that such prepayment is to be made pursuant to paragraph 4C. 4B. Notice of prepayment having been given as aforesaid, the principal amount of the Shelf Notes specified in such notice, together with interest thereon to the prepayment date and together with the Yield-Maintenance Amount, if any, herein provided, shall become due and payable on such prepayment date. The Company Co-Issuers shall, on or before the day on which it gives they give written notice of any prepayment pursuant to paragraph 4C4B, give telephonic notice of the principal amount of the Shelf Notes to be prepaid and the prepayment date to each Significant Holder which shall have designated a recipient for such notices in the Purchaser Schedule attached hereto or to the applicable Confirmation of Acceptance for such Significant Holder or by notice in writing to the Company.Co-Issuers. 4E.

Notice of prepayment having been given as aforesaid, the principal amount of the Notes specified in such notice, together with interest thereon to the prepayment date and together with the Yield-Yield- Maintenance Amount, if any, herein provided, shall become due and payable on such prepayment date. The Company shallshall use reasonable efforts, on or before the day on which it gives written notice of any prepayment pursuant to paragraph 4C, to give telephonic notice of the principal amount of the Notes to be prepaid and the prepayment date to each Significant Holder which shall have designated a recipient for such notices in the Purchaser Schedule attached hereto or the applicable Confirmation of Acceptance or by notice in writing to the Company.

Notice of Optional Prepayment. The Company shall give the holder of each Note of a Series to be prepaid pursuant to paragraph 4C irrevocable written notice of such any prepayment pursuant to paragraph 4B hereof not less than 10 Business Days thirty (30), nor more than sixty (60), days prior to the prepayment date, specifying such prepayment date, date and the aggregate principal amount of the Notes, and of the Notes of held by such Series holder, to be prepaid on such date, the principal amount of the Notes of such Series held by such holder to be prepaid on that date and stating that such prepayment is to be made pursuant to paragraph 4C. 4B of this Agreement. Notice of prepayment having been given as aforesaid, the principal amount of the Notes specified in such notice, together with accrued and unpaid interest thereon to the prepayment date and together with the Yield-Maintenance Amount, if any, herein providedwith respect thereto, shall become due and payable on such prepayment date. The Company shall, on or before the day on which it gives written notice of any prepayment pursuant to paragraph 4C4B hereof, give telephonic notice of the principal amount of the Notes to be prepaid and the prepayment date to each Significant Holder which shall have designated a recipient for of such notices in the Purchaser Schedule attached hereto or the applicable Confirmation of Acceptance or by notice in writing to the Company. In addition, the Company shall, on the day before such prepayment date, deliver, by facsimile, a written notice to each holder of Notes specifying the principal amount of each Note to be prepaid, the interest to be paid on each such Note, accrued to the prepayment date, and the amount of the Yield-Maintenance Amount, if any, together with supporting calculations in reasonable detail.

Notice of Optional Prepayment. The Company shall give the holder of each Note of a Series to be prepaid pursuant to paragraph 4C 4B irrevocable written notice of such prepayment not less than 10 Business Days prior to the prepayment date, specifying such prepayment date, the aggregate principal amount of the Notes of such Series to be prepaid on such date, the principal amount of the Notes of such Series held by such holder to be prepaid on that date and that such prepayment is to be made pursuant to paragraph 4C. 4B. Notice of prepayment having been given as aforesaid, the principal amount of the Notes specified in such notice, together with interest thereon to the prepayment date and together with the Yield-Maintenance Amount, if any, Prepayment Compensation Amount, if any, and Breakage Cost Obligations, if any, herein provided, shall become due and payable on such prepayment date. The Company shall, on or before the day on which it gives written notice of any prepayment pursuant to paragraph 4C4B, give telephonic notice of the principal amount of the Notes to be prepaid and the prepayment date to each Significant Holder which shall have designated a recipient for such notices in the Purchaser Schedule attached hereto or the applicable Confirmation of Acceptance or by notice in writing to the Company.

Notice of Optional Prepayment. The Company shall give the holder Holder of each Note of a Series to be prepaid pursuant to paragraph 4C 4B irrevocable written notice of such prepayment not less than 10 Business Days prior to the prepayment date, specifying such prepayment date, specifying the aggregate principal amount of the Notes of such Series to be prepaid on such date, identifying each Note held by such Holder, and the principal amount of the Notes of each such Series held by such holder Note, to be prepaid on that such date and stating that such prepayment is to be made pursuant to paragraph 4C. 4B. Notice of prepayment having been given as aforesaid, the principal amount of the Notes specified in such notice, together with interest thereon to the prepayment date and together with the Yield-Maintenance Amount, if any, herein provided, shall become due and payable on such prepayment date. The Company shall, on or before the day on which it gives written notice of any prepayment pursuant to paragraph 4C4A, give telephonic notice of the principal amount of the Notes to be prepaid and the prepayment date to each Significant Holder which shall have designated a recipient for such notices in the Purchaser Schedule attached hereto or the applicable Confirmation of Acceptance hereto, on Schedule A attached to any Supplement or by notice in writing to the Company.

Notice of Optional Prepayment. The Company Partnerships shall give the holder of each Note of a Series to be prepaid pursuant to paragraph 4C 4C(1) irrevocable written notice of such prepayment not less than 10 Business Days prior to the prepayment date, specifying such prepayment date, the aggregate principal amount of the Notes of such Series to be prepaid on such date, the principal amount of the Notes of such Series held by such holder to be prepaid on that date and that such prepayment is to be made pursuant to paragraph 4C. 4C(1). Notice of prepayment having been given as aforesaid, the principal amount of the Notes specified in such notice, together with interest thereon to the prepayment date and together with the Yield-Maintenance Amount, if any, herein provided, shall become due and payable on such prepayment date. The Company Partnerships shall, on or before the day on which it gives written notice of any prepayment pursuant to paragraph 4C4C(1), give telephonic notice of the principal amount of the Notes to be prepaid and the prepayment date to each Significant Holder which shall have designated a recipient for such notices in the Purchaser Schedule attached hereto or the applicable Confirmation of Acceptance or by notice in writing to the CompanyPartnerships.

Notice of Optional Prepayment. The Company shall give the holder of each Note of a Series to be prepaid pursuant to paragraph 4C 4B irrevocable written notice of such any optional prepayment (which, for the avoidance of doubt, shall not include any payment of Excess Cash required to be made hereunder) not less than 10 3 Business Days prior to the prepayment date, specifying such prepayment date, specifying the aggregate principal amount of the all Notes of such Series to be prepaid on such date, the principal amount of the Notes of such Series held by such holder to be prepaid on that date and stating that such prepayment is to be made pursuant to paragraph 4C. 4B. Notice of prepayment having been given as aforesaid, the principal amount of the Notes specified in such notice, together with interest thereon to the prepayment date and together with the Yield-Maintenance Amount, if any, herein provideddate, shall become due and payable on such prepayment date. The Company shallshall endeavor, on or before the day on which it gives written notice of any prepayment pursuant to paragraph 4C4B, give telephonic notice of the principal amount of the Notes to be prepaid and the prepayment date to each Significant Holder which shall have designated a recipient for such notices in the Purchaser Schedule attached hereto or the applicable Confirmation of Acceptance or by notice in writing to the Company.

Notice of Optional Prepayment. The Company shall give the holder of each Note of a Series to be prepaid pursuant to paragraph 4C irrevocable written notice of such prepayment not less than 10 Business Days thirty (30) days' prior to the prepayment date, specifying such prepayment date, the aggregate principal amount of the Notes of such Series to be prepaid on such date, the principal amount of the Notes of such Series held by such holder to be prepaid on that date and that such prepayment is to be made pursuant to paragraph 4C. Notice of prepayment having been given as aforesaid, the principal amount of the Notes specified in such notice, together with interest thereon to the prepayment date and together with the Yield-Maintenance Amount, if any, herein provided, shall become due and payable on such prepayment date. The Company shall, on or before the day on which it gives written notice of any prepayment pursuant to paragraph 4C, give telephonic notice of the principal amount of the Notes to be prepaid and the prepayment date to each Significant Holder which shall have designated a recipient for such notices in the Purchaser Schedule attached hereto or the applicable Confirmation of Acceptance or by notice in writing to the Company.

Notice of Optional Prepayment. The Company shall give the holder of each Note of a Series to be prepaid pursuant to paragraph 4C 4B irrevocable written notice of such prepayment not less than 10 Business Days prior to the prepayment date, specifying such prepayment date, specifying the aggregate principal amount of the Notes of such Series to be prepaid on such date, identifying each Note held by such holder, and the principal amount of the Notes of each such Series held by such holder Note, to be prepaid on that such date and stating that such prepayment is to be made pursuant to paragraph 4C. 4B; provided -------- that notice to Prudential under this paragraph 4C shall constitute notice to each Prudential Affiliate that is a holder. Notice of prepayment having been given as aforesaid, the principal amount of the Notes specified in such notice, together with interest thereon to the prepayment date and together with the Yield-Maintenance Amount, if any, herein provided, shall become due and payable on such prepayment date. The Company shall, on or before the day on which it gives written notice of any prepayment pursuant to paragraph 4C4A, give telephonic notice of the principal amount of the Notes to be prepaid and the prepayment date to each Significant Holder which shall have designated a recipient for such notices in the Purchaser Information Schedule attached hereto or the applicable Confirmation of Acceptance or by notice in writing to the Company.

Notice of Optional Prepayment. The Company Issuer shall give the holder of each Shelf Note of a Series to be prepaid pursuant to paragraph 4C 4B irrevocable written notice of such prepayment not less than 10 Business Days prior to the prepayment date, specifying such prepayment date, the aggregate principal amount of the Shelf Notes of such Series to be prepaid on such date, the principal amount of the Shelf Notes of such Series held by such holder to be prepaid on that date and that such prepayment is to be made pursuant to paragraph 4C. 4B. Notice of prepayment having been given as aforesaid, the principal amount of the Shelf Notes specified in such notice, together with interest thereon to the prepayment date and together with the Yield-Maintenance Amount, if any, herein provided, shall become due and payable on such prepayment date. The Company Issuer shall, on or before the day on which it gives written notice of any prepayment pursuant to paragraph 4C4B, give telephonic notice of the principal amount of the Shelf Notes to be prepaid and the prepayment date to each Significant Holder which shall have designated a recipient for such notices in the Purchaser Schedule attached hereto or to the applicable Confirmation of Acceptance for such Significant Holder or by notice in writing to the CompanyIssuer.

Notice of Optional Prepayment. The Company shall give the holder of each Note of a Series to be prepaid pursuant to paragraph 4C irrevocable written notice of such any prepayment pursuant to paragraph 4A not less than 10 Business Days prior to the prepayment datedate (which shall be a Business Day), specifying such prepayment date, date and the aggregate principal amount of the Notes, and of the Notes of held by such Series holder, to be prepaid on such date, the principal amount of the Notes of such Series held by such holder to be prepaid on that date and stating that such prepayment is to be made pursuant to paragraph 4C. 4A. Notice of prepayment having been given as aforesaid, the principal amount of the Notes specified in such notice, together with interest thereon to the prepayment date and together with the Yield-Maintenance Amount, if any, herein providedwith respect thereto, shall become due and payable on such prepayment date. The Company shall give notice to the holder of each Note of a Series to be prepaid pursuant to paragraph 4C irrevocable written notice of any optional prepayment to be made pursuant to paragraph 4B with respect to such prepayment Series not less than 10 Business Days prior to the prepayment date, specifying (i) such prepayment date, (ii) the aggregate principal amount of the Notes of such Series to be prepaid on such date, (iii) the principal amount of the Notes of such Series held by such holder to be prepaid on that date date, and (iv) stating that such optional prepayment is to be made pursuant to paragraph 4C. 4B. Notice of optional prepayment having been given as aforesaid, the principal amount of the Notes specified in such notice, together with interest thereon to the prepayment date and together with the Yield-Maintenance Amount, if any, herein provided, shall become due and payable on such prepayment date. The Company shall, on or before the day on which it gives written notice of any prepayment pursuant to paragraph 4C4B, give telephonic notice of the principal amount of the Notes to be prepaid and the prepayment date to each Significant Holder which shall have designated a recipient for such notices in the Purchaser Schedule purchaser schedule attached hereto or to the applicable Confirmation of Acceptance or by notice in writing to the Company.

Notice of Optional Prepayment. Notice of prepayment having been given as aforesaid, the principal amount of the Notes specified in such notice, together with interest thereon to the prepayment date and together with the Yield-Maintenance AmountAmount and Breakage Cost Obligation, if any, herein provided, shall become due and payable on such prepayment date. The Company shall, on or before the day on which it gives written notice of any prepayment pursuant to paragraph 4C4B, give telephonic notice of the principal amount of the Notes to be prepaid and the prepayment date to each Significant Holder holder which shall have designated a recipient for such notices in the Purchaser Schedule attached hereto or the applicable Confirmation of Acceptance hereto, on Schedule A attached to any Supplement or by notice in writing to the Company.

Notice of Optional Prepayment. The Company shall give the holder of each Note of a Series to be prepaid pursuant to paragraph 4C irrevocable 4B written notice of such any prepayment pursuant to paragraph 4B not less than 10 5 five Business Days prior to the prepayment datedate (which shall be a Business Day), specifying such prepayment date, date and the aggregate principal amount of the Notes of such Series to be prepaid on such dateSeries, the principal amount of and the Notes of such Series held by such holder holder, to be prepaid on that date such date, and stating that such prepayment is to be made pursuant to paragraph 4C. Notice 4B. Such notice shall be irrevocable but may be subject to the occurrence of certain conditions only to the extent such notice is provided more than 5 five Business Days prior to the prepayment date; provided, however, that to the extent the Company has provided any such notice which does contain conditions to prepayment more than 5 five Business Days prior to the prepayment date, then the Company shall provide the holder of each Note of the Series to be prepaid subsequent irrevocable written notice (which shall not be subject to any conditions) not less than 5 five Business days Days prior to the prepayment date (which shall be a Business Day). Notice(s) of prepayment having been given as aforesaid, the principal amount of the Notes specified in such noticenotice(s), together with interest thereon to the prepayment date and together with the Yield-Maintenance Amount, if any, herein providedwith respect thereto, shall become due and payable on such prepayment date. The Company shall, on or before the day on which it gives written notice of any prepayment pursuant to paragraph 4C, give telephonic notice of the principal amount of the Notes to be prepaid and the prepayment date to each Significant Holder which shall have designated a recipient for such notices in the Purchaser Schedule attached hereto or the applicable Confirmation of Acceptance or by notice in writing to the Company.

Notice of Optional Prepayment. The Company applicable Issuer shall give the holder of each Note of a Series to be prepaid pursuant to paragraph 4C 4B irrevocable written notice of such prepayment not less than 10 Business Days prior to the prepayment datedate (which shall be a Business Day), specifying such prepayment date, date and the aggregate principal amount of the Notes of such Series to be prepaid on such dateSeries, the principal amount of and the Notes of such Series held by such holder holder, to be prepaid on that date such date, and stating that such prepayment is to be made pursuant to paragraph 4C. 4B. Notice of prepayment having been given as aforesaid, the principal amount of the Notes specified in such notice, together with interest thereon to the prepayment date and together with the Yield-Maintenance Amount, LIBOR Breakage Amount, Swap Breakage Amount and Prepayment Premium, if any, herein providedwith respect thereto, shall become due and payable on such prepayment date. The Company applicable Issuer shall, on or before the day on which it gives written notice of any prepayment pursuant to paragraph 4C4B, give telephonic notice of the principal amount of the Notes to be prepaid and the prepayment date to each Significant Holder which shall have designated a recipient for of such notices in the Purchaser Schedule attached hereto or the applicable Confirmation of Acceptance or by notice in writing to the Companyapplicable Issuer.

Notice of Optional Prepayment. The Company shall give the holder of each Note of a Series to be prepaid pursuant to paragraph 4C 4B irrevocable written notice of such prepayment not less than 10 Business Days prior to the prepayment date, specifying such prepayment date, specifying the aggregate principal amount of the Notes of such Series to be prepaid on such date, identifying each Note held by such holder, and the principal amount of the Notes of each such Series held by such holder Note, to be prepaid on that such date and stating that such prepayment is to be made pursuant to paragraph 4C. 4B. Notice of Optional Prepayment. The Company shall give the holder of each Note of a Series to be prepaid pursuant to paragraph 4C 4B irrevocable written notice of such any prepayment pursuant to paragraph 4B not less than 10 Business Days prior to the prepayment datedate (which shall be a Business Day), specifying such prepayment date, date and the aggregate principal amount of the Notes, and of the Notes of held by such Series holder, to be prepaid on such date, the principal amount of the Notes of such Series held by such holder to be prepaid on that date and stating that such prepayment is to be made pursuant to paragraph 4C. 4B. Notice of prepayment having been given as aforesaid, the principal amount of the Notes specified in such notice, together with interest thereon to the prepayment date and together with the Yield-Maintenance Amount, if any, herein providedwith respect thereto, shall become due and payable on such prepayment date. The Company shall, on or before the day on which it gives written notice of any prepayment pursuant to paragraph 4C4B, give telephonic or e-mail notice of the principal amount of the Notes to be prepaid and the prepayment date to each Significant Holder which shall have designated a recipient for of such notices in the Purchaser Schedule attached hereto or the applicable Confirmation of Acceptance or by notice in writing to the Company.

Notice of Optional Prepayment. The Company shall give the holder of each Note written notice of a Series to be prepaid any optional prepayment pursuant to paragraph 4C irrevocable written notice of such prepayment 5B not less fewer than 10 five Business Days prior to the prepayment date, specifying (i) such prepayment date, (ii) the aggregate principal amount of the Notes of such Series to be prepaid on such datedate (solely in the case of an optional prepayment under paragraph 5B), (iii) the principal amount of the Notes of such Series held by such each holder thereof to be prepaid on that date and date, (iv) that such optional prepayment is to be made pursuant to paragraph 4C. 5B and (v) a calculation of the estimated Applicable Premium, if any, due in connection with any prepayment pursuant to paragraph 5B setting forth the details of such computation. Notice of optional prepayment having been given as aforesaid, the prepayment price with respect to the principal amount of the Notes specified in such noticeto be prepaid, together with accrued and unpaid interest thereon to to, but not including, the prepayment date date, and together with the Yield-Maintenance Amount, if any, herein provided, any Applicable Premium shall become due and payable on such prepayment date, unless revoked by the Company in writing. The Company shall, on or before the day on which it gives written notice of Five Business Days prior to any prepayment pursuant to paragraph 4C5B, give telephonic notice the Company shall deliver to each holder of Notes a certificate of a Responsible Officer specifying the calculation of such Applicable Premium, if any, as of the principal amount of the Notes to be prepaid and the specified prepayment date to each Significant Holder which shall have designated a recipient for such notices in the Purchaser Schedule attached hereto or the applicable Confirmation of Acceptance or by notice in writing to the Companydate.”

Notice of Optional Prepayment. The Company shall give the holder of each Note of a Series to be prepaid pursuant to paragraph 4C 6B irrevocable written notice of such prepayment not less than 10 Business Days prior to the prepayment date, specifying such prepayment date, specifying the aggregate principal amount of either the Original Shelf Notes or the Series of such Series Shelf Notes to be prepaid on such date, identifying each Note held by such holder, and the principal amount of the Notes of each such Series held by such holder Note, to be prepaid on that such date and stating that such prepayment is to be made pursuant to paragraph 4C. 6B. Notice of prepayment having been given as aforesaid, the principal amount of the Notes specified in such notice, together with interest thereon to the prepayment date and together with the Yield-Maintenance Amount, if any, herein provided, shall become due and payable on such prepayment date. The Company shall, on or before the day on which it gives written notice of any prepayment pursuant to paragraph 4C6B, give telephonic notice of the principal amount of the Notes to be prepaid and the prepayment date to each Significant Holder which shall have designated a recipient for such notices in the Purchaser Information Schedule attached hereto or the applicable Confirmation of Acceptance or by notice in writing to the Company.

Notice of Optional Prepayment. The Company shall give the holder of each Note of a Series to be prepaid pursuant to paragraph 4C 4B irrevocable written notice of such prepayment not less than 10 five Business Days prior to the prepayment date, specifying such prepayment date, the aggregate principal amount of the Notes of such Series to be prepaid on such date, the principal amount of the Notes of such Series held by such holder to be prepaid on that date and that such prepayment is to be made pursuant to paragraph 4C. 4B. Notice of prepayment having been given as aforesaid, the principal amount of the Notes specified in such notice, together with interest thereon to the prepayment date and together with the Yield-Maintenance Amount, if any, herein provided, shall become due and payable on such prepayment date. The Company shall, on or before the day on which it gives written notice of any prepayment pursuant to paragraph 4C4B, give telephonic notice of the principal amount of the Notes to be prepaid and the prepayment date to each Significant Holder which shall have designated a recipient for such notices in the Purchaser Schedule attached hereto or the applicable Confirmation of Acceptance or by notice in writing to the Company. Notwithstanding the foregoing, any notice of prepayment of the Notes in whole given by the Company may state that such prepayment notice is conditioned upon the effectiveness of other credit facilities or capital raising, in which case such notice may be revoked by the Company (by notice to the holders on or prior to the specified effective date) if such condition is not satisfied.

Notice of Optional Prepayment. The Company shall give the holder of each Note of a Series to be prepaid pursuant to paragraph 4C 4D irrevocable written notice of such prepayment not less than 10 Business Days prior to the prepayment date, specifying such prepayment date, the aggregate principal amount of the Notes of such Series to be prepaid on such date, the principal amount of the Notes of such Series held by such holder to be prepaid on that date and that such prepayment is to be made pursuant to paragraph 4C. 4D. The Company Issuer shall give notice to the holder of each Note of a Series to be prepaid pursuant to paragraph 4C irrevocable written notice of any optional prepayment to be made pursuant to paragraph 4B(1) with respect to such prepayment Series not less than 10 Business Days prior to the prepayment date, specifying (i) such prepayment date, (ii) the aggregate principal amount of the Notes of such Series to be prepaid on such date, (iii) the principal amount of the Notes of such Series held by such holder to be prepaid on that date date, and (iv) stating that such optional prepayment is to be made pursuant to paragraph 4C. 4B(1). Notice of optional prepayment having been given as aforesaid, the principal amount of the Notes specified in such notice, together with interest thereon to the prepayment date and together with the Yield-Maintenance Amount, if any, herein provided, shall become due and payable on such prepayment date. Notice of prepayment having been given as aforesaid, the principal amount of the Notes specified in such notice, together with interest thereon to the prepayment date and together with the Yield-Maintenance Amount, if any, herein provided, shall become due and payable on such prepayment date. The Company shall give to the holder of each Note of a Series to be prepaid pursuant to paragraph 4C 4B irrevocable written notice of such prepayment 15365.013 pursuant to paragraph 4B with respect to such Series not less than 10 ten (10) Business Days prior to the prepayment date, specifying (i) such prepayment date, (ii) the aggregate principal amount of the Private Shelf Notes of such Series to be prepaid on such date, (iii) the principal amount of the Private Shelf Notes of such Series held by such holder to be prepaid on that date date, and (iv) stating that such optional prepayment is to be made pursuant to paragraph 4C. 4B. Notice of optional prepayment having been given as aforesaid, the principal amount of the Private Shelf Notes specified in such notice, together with interest thereon to the prepayment date and together with the Yield-Maintenance Amount, if any, herein providedwith respect thereto, shall become due and payable on such prepayment date. The Company shall, on or before the day on which it gives written notice of any prepayment pursuant to paragraph 4C4B, give telephonic notice of the principal amount of the Private Shelf Notes to be prepaid and the prepayment date to each Significant Holder holder which shall have designated a recipient for such notices in the Purchaser Schedule attached hereto or the applicable Confirmation of Acceptance or by notice in writing to the Company.

Notice of Optional Prepayment. The Company shall give the holder of each Term Note of a Series to be prepaid pursuant to paragraph 4C irrevocable written notice of such any optional prepayment pursuant to paragraph 4B(1) not less than 10 Business Days 20 days prior to the prepayment date, specifying (i) such prepayment date, (ii) the aggregate principal amount of the Term Notes of such Series to be prepaid on such date, (iii) the principal amount of the Term Notes of such Series held by such holder to be prepaid on that date date, and that (iv) such optional prepayment is to be made pursuant to paragraph 4C. 4B(1). Notice of optional prepayment having been given as aforesaid, the principal amount of the Term Notes specified in such notice, together with interest thereon to the prepayment date and together with the Yield-Maintenance Amount, if any, herein provided, shall become due and payable on such prepayment date. The Company shall, on or before the day on which it gives written notice of any prepayment pursuant to paragraph 4C4B(1), give telephonic notice of the principal amount of the Term Notes to be prepaid and the prepayment date to each Significant Holder which shall have designated a recipient for of such notices in the Purchaser Information Schedule attached hereto or the applicable Confirmation of Acceptance or by notice in writing to the Company.

Notice of Optional Prepayment. The Company shall give the holder of each Term Note of a Series to be prepaid pursuant to paragraph 4C 1L(1) irrevocable written notice of such prepayment not less than 10 Business Days 30 days prior to the prepayment date, specifying such prepayment date, specifying the aggregate principal amount of the Term Notes of the same Series as such Series Term Note to be prepaid on such date, identifying each Term Note held by such holder, and the principal amount of the Notes of each such Series held by such holder Term Note, to be prepaid on that such date and stating that such prepayment is to be made pursuant to paragraph 4C. 1L(1). Notice of prepayment having been given as aforesaid, the principal amount of the Term Notes specified in such notice, together with interest thereon to the prepayment date and together with the Yield-Maintenance Amount, if any, herein provided, shall become due and payable on such prepayment date. Notice of Optional Prepayment. The Company and IT shall give the holder of each Note of a Series to be prepaid pursuant to paragraph 4C irrevocable written notice of such any prepayment pursuant to clause (i) of paragraph 4B not less than 10 Business Days prior to the prepayment date, specifying such prepayment date, the aggregate principal amount of the Notes of such Series to be prepaid on such date, date and the principal amount of the Notes of such Series held by such holder to be prepaid on that such date and stating that such prepayment is to be made pursuant to clause (i) of paragraph 4C. 4B. Notice of prepayment having been given as aforesaid, the principal amount of the Notes specified in such notice, together with accrued and unpaid interest thereon to the prepayment date and together with the Yield-Maintenance Amount, if any, herein provideddate, shall become due and payable on such prepayment date. Notice of prepayment having been given as aforesaid, the principal amount of the Notes specified in such notice, together with interest thereon to the prepayment date and together with the Yield-Maintenance Make Whole Amount, if any, herein providedwith respect thereto, shall become due and payable on such prepayment date. The Company shall, on or before the day on which it gives written notice of any prepayment pursuant to paragraph 4C, give telephonic notice of the principal amount of the Notes to be prepaid and the prepayment date to each Significant Holder which shall have designated a recipient for of such notices in the Purchaser Schedule attached hereto or the applicable Confirmation of Acceptance or by notice in writing to the Company.

The Company shall give the holder of each Note irrevocable written notice of a Series to be prepaid any prepayment pursuant to paragraph 4C irrevocable written notice of such prepayment not less than 10 Business Days days (or such other period as may be agreed by the Required Holders) prior to the prepayment date, specifying such prepayment date, the aggregate principal amount of the Notes of such Series to be prepaid on such date, the principal amount of the Notes of such Series held by such holder to be prepaid on that such date and that such prepayment is to be made pursuant to paragraph 4C. Notice of prepayment having been given as aforesaid, the principal amount of the Notes specified in such notice, together with interest thereon to the prepayment date and together with the Yield-Maintenance Amount, if any, herein providedwith respect thereto, shall become due and payable on such prepayment date. The Company shall, on or before the day on which it gives written notice of any prepayment pursuant to paragraph 4C4B, give telephonic notice of the principal amount of the Notes to be prepaid and the prepayment date to each Significant Holder which shall have designated a recipient for such notices in the Purchaser Schedule PURCHASER SCHEDULE attached hereto or the applicable Confirmation of Acceptance or by notice in writing to the Company.

Notice of Optional Prepayment. The Company shall give the holder of each Note of a Series to be prepaid pursuant to paragraph 4C 4C(1) irrevocable written notice of such prepayment not less than 10 Business Days prior to the prepayment date, specifying such prepayment date, the aggregate principal amount of the Notes of such Series to be prepaid on such date, the principal amount of the Notes of such Series held by such holder to be prepaid on that date and that such prepayment is to be made pursuant to paragraph 4C. 4C(1). Notice of prepayment having been given as aforesaid, the principal amount of the Notes specified in such notice, together with interest thereon to the prepayment date and together with the Yield-Maintenance Amount, if any, herein provided, shall become due and payable on such prepayment date. The Company shall, on or before the day on which it gives written notice of any prepayment pursuant to paragraph 4C4C(1), give telephonic notice of the principal amount of the Notes to be prepaid and the prepayment date to each Significant Holder which shall have designated a recipient for such notices in the Purchaser Schedule attached hereto or the applicable Confirmation of Acceptance or by notice in writing to the Company.

Notice of Optional Prepayment. The Company shall give the holder of each Note of a Series to be prepaid pursuant to paragraph 4C irrevocable written notice of such any prepayment pursuant to paragraph 6B(i) hereof not less than 10 ten (10) Business Days prior to the prepayment date, specifying such prepayment date, date and the aggregate principal amount of the Notes, and of the Notes of held by such Series holder, to be prepaid on such date, the principal amount of the Notes of such Series held by such holder to be prepaid on that date and stating that such prepayment is to be made pursuant to paragraph 4C. 6B(i) hereof. The notice of prepayment shall also set forth in reasonable detail the Company's calculation of the estimated Yield-Maintenance Amount payable to each holder of Notes in connection with such prepayment. Notice of prepayment having been given as aforesaid, the principal amount of the Notes specified in such notice, together with interest thereon to the prepayment date and together with the Yield-Maintenance U.S. AGGREGATES, INC. 6 AMENDED AND RESTATED NOTE AND WARRANT PURCHASE AGREEMENT Amount, if any, herein providedwith respect thereto, shall become due and payable on such prepayment date. The Company shall, on or before the day on which it gives written notice of any prepayment pursuant to paragraph 4C6B(i) hereto, give telephonic notice of the principal amount of the Notes to be prepaid and the prepayment date to each Significant Holder which shall have designated a recipient for of such notices in the Purchaser Schedule attached hereto or the applicable Confirmation of Acceptance or by notice in writing to the Company.

Notice of Optional Prepayment. The Company Issuers shall give the holder of each Note of a Series to be prepaid pursuant to paragraph 4C irrevocable written notice of such any prepayment pursuant to paragraph 4B not less than 10 Business Days prior to the prepayment datedate (which shall be a Business Day), specifying such prepayment date, date and the aggregate principal amount of the Notes of such Series to be prepaid on such dateSeries, the principal amount and of the Notes of such Series held by such holder holder, to be prepaid on that such date and stating that such prepayment is to be made pursuant to paragraph 4C. 4B. Notice of prepayment having been given as aforesaid, the principal amount of the Notes specified in such notice, together with interest thereon to the prepayment date and together with the Yield-Maintenance Amount, if any, herein providedwith respect thereto, shall become due and payable on such prepayment date.
