Common use of Notice of Measurement Facilities Inspection and Calibration Clause in Contracts

Notice of Measurement Facilities Inspection and Calibration. Each Party shall give reasonable notice to the other Party in order that the other Party may, at its option, have representatives present to observe any reading, inspecting, testing, calibrating or adjusting of Measurement Facilities or other facilities or equipment used in measuring or checking the measurement of volumes of Fresh Water or Produced Water under this Agreement (including Producer’s or its hydraulic fracturing contractor’s equipment collecting data regarding Fresh Water volumes delivered hereunder). The official electronic data from such Measurement Facilities or other facilities or equipment shall remain the property of the owner thereof, but copies of such records shall, upon request, be submitted, together with calculations and flow computer configurations therefrom, to the requesting Party for inspection and verification.
