Common use of Notice of Elections Clause in Contracts

Notice of Elections. To make an election pursuant to this Section, a Borrower shall notify the Administrative Agent of such election by telephone by the time that a Borrowing Request would be required under Section 2.03 if the Company were requesting a Syndicated Borrowing of the Type resulting from such election to be made on the effective date of such election. Each such telephonic Interest Election Request shall be irrevocable and shall be confirmed promptly by hand delivery or telecopy to the Administrative Agent of a written 364-Day Credit Agreement Interest Election Request in a form approved by the Administrative Agent and signed by the Company (on behalf of itself or, as applicable, on behalf of an Approved Borrower).

Each such telephonic Interest Election Request (whether by telephone or email) shall be irrevocable and any telephonic request shall be confirmed promptly by hand delivery delivery, email or telecopy to the Administrative Agent of a written 364-Day Credit Agreement Interest Election Request in a the form approved by the Administrative Agent of Exhibit 2.7 and signed by the Company (on behalf of itself or, as applicable, on behalf of an Approved Borrower).

Each such telephonic Interest Election Request shall be irrevocable and shall be confirmed promptly (but no later than the close of business on the date of such request) by hand delivery or telecopy in writing to the Administrative Agent of a written 364-Day Credit Agreement Interest Election Request in a form approved by the Administrative Agent and signed by the Company (on behalf of itself or, as applicable, on behalf of an Approved Borrower).

Each such telephonic Interest Election Request shall be irrevocable and shall be confirmed promptly by hand delivery or telecopy e-mail (in .pdf or .tif format) to the Administrative Agent of a written 364-Day Credit Agreement Interest Election Request in a form approved by the Administrative Agent and signed by a Responsible Officer of the Company (on behalf of itself or, as applicable, on behalf of an Approved Borrower).

Each such telephonic Interest Election Request shall be irrevocable and shall be confirmed promptly (but no later than the close of business on the date of such request) by hand delivery or telecopy to the Administrative Agent of a written 364-Day Credit Agreement Interest Election Request in a form approved by the Administrative Agent and signed by the Company (on behalf of itself or, as applicable, on behalf of an Approved Borrower).

Each such telephonic Interest Election Request shall be irrevocable and shall be confirmed promptly by hand delivery or telecopy facsimile to the Administrative Agent of a written 364-Day Credit Agreement Interest Election Request in a form approved by the Administrative Agent and signed by the Company (on behalf of itself or, as applicable, on behalf of an Approved or the relevant Borrower)) or the relevant Borrower.
