Common use of Notice effective Clause in Contracts

Notice effective. (a) No notice or other communication is to be effective until it is received. (b) A communication will be deemed to be received: (i) in the case of a letter, on the second Business Day after posting (with all postage paid); (ii) in the case of an email, on the Business Day on which it arrives in the recipient's information system (provided that if it is received in that system after 5.00pm on a Business Day, then it will be deemed to be received on the next Business Day), provided that if there is any dispute as to whether an email has been received, the email shall only be deemed to have been received at that time where the party giving notice produces a printed copy of the email which evidences that the email was sent to the email address of the party given notice; and (iii) in the case of personal delivery, when delivered.
