Common use of Notice and Record Date of Meetings Clause in Contracts

Notice and Record Date of Meetings. Except as otherwise provided herein, written notice stating the place, day and hour of a meeting and the purpose or purposes for which the meeting is called shall be delivered at least fifteen (15) days but not more than ninety (90) days before the date of the meeting, either personally, by certified or registered mail, postage prepaid, or by facsimile or electronic mail to each Member. If mailed, such notice shall be deemed to be delivered two (2) business days after being deposited in the United States mail, addressed to the Member at his/her address as it appears on the books of the Company, with postage thereon prepaid. If sent by facsimile or electronic mail, such notice shall be deemed to be delivered on the date of delivery indicated on the facsimile or electronic mail delivery confirmation record. Members may waive prior notice by attending the meeting or by executing a written waiver of notice before or after the meeting. The date on which notice of the meeting is mailed shall be the record date for determining Members entitled to notice of and/or to Vote at any meeting of the Members.
