Common use of NONSOLICITATION; NONINTERFERENCE Clause in Contracts

NONSOLICITATION; NONINTERFERENCE. (i) During ▇▇▇▇▇▇’▇ service as an employee or director for any Carvana Company and for a period of twelve (12) months after any Termination Date, ▇▇▇▇▇▇ shall not individually or on behalf of any other person, hire any person that is, or was during the twelve-month period immediately prior to ▇▇▇▇▇▇’▇ Termination Date, a customer, supplier or other business relation of any Carvana Company, or induce such person to cease, reduce or suspend doing business with any Carvana Company or hire or retain any such customer, supplier or other business relation or take any action to materially assist or aid any other Person in identifying, hiring or soliciting any such customer, supplier or other business relation. (ii) During ▇▇▇▇▇▇’▇ service as an employee or director of any Carvana Company and for a period of twelve (12) months after any Termination Date, ▇▇▇▇▇▇ shall not, directly or indirectly, individually or an behalf of any other Person, solicit, aid or induce any advisor, consultant, employee, representative or agent of any Carvana Company to leave such employment or retention or to accept employment with or render services to or with any other Person unaffiliated with the Carvana Companies, or hire or retain any such advisor, consultant, employee, representative or agent, or take any action to materially assist or aid any other Person in identifying, hiring or soliciting any such employee, representative or agent. Any person described in this paragraph (c)(ii) shall be deemed covered by this paragraph (c)(ii) while so employed or retained and for a period of twelve (12) months thereafter.

NONSOLICITATION; NONINTERFERENCE. (i) During ▇▇▇▇▇▇’▇ the Executive’s employment or service as an employee or director for any Carvana with the Company Group and for a period of twelve twenty-four (1224) months after any Termination Datethereafter, ▇▇▇▇▇▇ the Executive agrees that the Executive shall not not, except in the furtherance of the Executive’s duties hereunder, directly or indirectly, individually or on behalf of any other person, hire any person that isfirm, or was during the twelve-month period immediately prior to ▇▇▇▇▇▇’▇ Termination Date, a customer, supplier corporation or other business relation of any Carvana Companyentity, (i) solicit, aid or induce such person any customer of the Company Group or any of its affiliates to ceasepurchase goods or services related to the Restricted Business from another person, reduce or suspend doing business with any Carvana Company or hire or retain any such customerfirm, supplier corporation or other business relation entity or take any action to materially assist or aid any other Person person or entity in identifying, hiring identifying or soliciting any such customer, supplier or other business relation. (ii) During ▇▇▇▇▇▇’▇ service as an employee or director of any Carvana Company and for a period of twelve (12) months after any Termination Date, ▇▇▇▇▇▇ shall not, directly or indirectly, individually or an behalf of any other Person, solicit, aid or induce any advisor, consultant, employee, representative or agent of the Company Group or any Carvana Company of its affiliates to leave such employment or retention or to accept employment with or render services to or with any other Person person, firm, corporation or other entity unaffiliated with the Carvana Companies, Company Group or hire or retain any such advisor, consultant, employee, representative or agent, or take any action to materially assist or aid any other Person person, firm, corporation or other entity in identifying, hiring or soliciting any such employee, representative or agent; or (iii) intentionally interfere, or intentionally aid or induce any other person or entity in interfering, with the relationship between the Company Group or any of its affiliates and any of their respective vendors, joint venturers or licensors which causes harm to the Company Group. Any person described in this paragraph (c)(ii) An employee, representative or agent shall be deemed covered by this paragraph (c)(iiSection 10(c) while so employed or retained and for a period of twelve (12) months thereafter. Notwithstanding the foregoing, the provisions of this Section 10(c) shall not be violated by general advertising or solicitation not specifically targeted at Company Group-related persons or entities.

(i) During ▇▇▇▇▇▇’▇ service as an employee or director for any Carvana the Executive’s employment with the Company Group and for a period of thereafter equal to twelve (12) months after any Termination Datemonths, ▇▇▇▇▇▇ the Executive agrees that the Executive shall not not, except in the furtherance of the Executive’s duties hereunder, directly or indirectly, individually or on behalf of any other person, hire any person that isfirm, or was during the twelve-month period immediately prior to ▇▇▇▇▇▇’▇ Termination Date, a customer, supplier corporation or other business relation of any Carvana Companyentity, (i) solicit, aid or induce such person any customer of the Company Group or any of its affiliates with whom the Executive had direct dealings while employed by the Company Group to ceasepurchase goods or services then sold by the Company Group or any of its affiliates from another person, reduce or suspend doing business with any Carvana Company or hire or retain any such customerfirm, supplier corporation or other business relation entity or take any action to materially assist or aid any other Person person or entity in identifying, hiring identifying or soliciting any such customer, supplier or other business relation. (ii) During ▇▇▇▇▇▇’▇ service as an employee or director of any Carvana Company and for a period of twelve (12) months after any Termination Date, ▇▇▇▇▇▇ shall not, directly or indirectly, individually or an behalf of any other Person, solicit, aid or induce any advisor, consultant, employee, representative or agent of the Company Group or any Carvana Company of its affiliates to leave such employment or retention or to accept employment with or render services to or with any other Person person, firm, corporation or other entity unaffiliated with the Carvana CompaniesCompany Group, or hire or retain any such advisor, consultant, employee, representative or agent, or take any action to materially assist or aid any other Person person, firm, corporation or other entity in identifying, hiring or soliciting any such employee, representative or agent, or (iii) knowingly interfere, or knowingly aid or induce any other person or entity in interfering, with the relationship between the Company Group or any of its affiliates and any of their respective vendors, joint venturers or licensors. Any person described in this paragraph (c)(ii) An employee, representative or agent shall be deemed covered by this paragraph (c)(iiSection 11(b) while so employed or retained and for a period of twelve nine (129) months thereafter. Notwithstanding the foregoing, the provisions of this Section 11(b) shall not be violated by general advertising or solicitation not specifically targeted at Company Group-related persons or entities.

(i) During ▇▇▇▇▇▇’▇ Participant’s service as an employee or director for any Carvana Company and for a period of twelve (12) months after any Termination DateTermination, ▇▇▇▇▇▇ Participant shall not individually or on behalf of any other personPerson, hire solicit, aid or induce any person Person that is, or was during or the twelve-month period immediately prior to ▇▇▇▇▇▇’▇ Participant’s Termination Datefor any reason, a customer, supplier or other business relation of any Carvana Company, or induce such person to cease, reduce or suspend doing business with any Carvana Company or hire or retain any such customer, supplier or other business relation or take any action to materially assist or aid any other Person in identifying, hiring or soliciting any such customer, supplier or other business relation. (ii) During ▇▇▇▇▇▇’▇ Participant’s service as an employee or director of for any Carvana Company and for a period of twelve (12) months after any Termination DateTermination, ▇▇▇▇▇▇ Participant shall not, directly or indirectly, individually or an on behalf of any other Person, solicit, aid or induce any advisor, consultant, employee, representative or agent of any Carvana Company to leave such employment or retention or to accept employment with or render services to or with any other Person unaffiliated with the Carvana Companies, Companies or hire or retain any such advisor, consultant, employee, representative or agent, or take any action to materially assist or aid any other Person in identifying, hiring or soliciting any such employee, representative or agent. Any person described in this paragraph (c)(ii) shall be deemed covered by this paragraph (c)(ii) while so employed or retained and for a period of twelve (12) months thereafter.

(i) During ▇▇▇▇▇▇’▇ service as an employee or director for any Carvana the Executive’s employment with the Company and for a period of twelve (12) months after any Termination Datethereafter, ▇▇▇▇▇▇ the Executive agrees that the Executive shall not not, except in the furtherance of the Executive’s duties hereunder, directly or indirectly, individually or on behalf of any other person, hire any person that isfirm, or was during the twelve-month period immediately prior to ▇▇▇▇▇▇’▇ Termination Date, a customer, supplier corporation or other business relation of any Carvana Companyentity, (i) solicit, aid or induce such person to cease, reduce or suspend doing business with any Carvana customer of the Company or hire any of its direct or retain indirect subsidiaries to purchase goods or services then sold by the Company Group or any such customerof its Affiliates from another person, supplier firm, corporation or other business relation entity or take any action to materially assist or aid any other Person persons or entity in identifying, hiring identifying or soliciting any such customer, supplier or other business relation. (ii) During ▇▇▇▇▇▇’▇ service as an employee or director of any Carvana Company and for a period of twelve (12) months after any Termination Date, ▇▇▇▇▇▇ shall not, directly or indirectly, individually or an behalf of any other Person, solicit, aid or induce any advisor, consultant, employee, representative or agent of any Carvana the Company Group to leave such employment or retention or to accept employment with or render services to or with any other Person person, firm, corporation or other entity unaffiliated with the Carvana Companies, Company or hire or retain any such advisor, consultant, employee, representative or agent, or take any action to materially assist or aid any other Person person, firm, corporation or other entity in identifying, hiring or soliciting any such employee, representative or agent, or (iii) interfere, or aid or induce any other person or entity in interfering, with the relationship between the Company or any of its Affiliates and any of their respective vendors, joint venturers or licensors. Any person described in this paragraph (c)(ii) An employee, representative or agent shall be deemed covered by this paragraph (c)(iiSection 5(c) while so employed or retained and for a period of twelve six (126) months thereafter.

NONSOLICITATION; NONINTERFERENCE. (i) During ▇▇▇▇▇▇’▇ service as an employee or director for any Carvana the Executive’s employment with the Company and for a period of twelve one (121) months after any Termination Dateyear thereafter, ▇▇▇▇▇▇ the Executive agrees that the Executive shall not not, except in the furtherance of the Executive’s duties hereunder, directly or indirectly, individually or on behalf of any other person, hire any person that isfirm, or was during the twelve-month period immediately prior to ▇▇▇▇▇▇’▇ Termination Date, a customer, supplier corporation or other business relation entity, (i) solicit, aid or induce any customer of any Carvana the Company, Parent or induce such person an Affiliate to ceasepurchase goods or services then sold by the Company, reduce Parent or suspend doing business with any Carvana Company or hire or retain any such customerAffiliate from another person, supplier firm, corporation or other business relation entity or take any action to materially assist or aid any other Person persons or entity in identifying, hiring identifying or soliciting any such customer, supplier or other business relation. (ii) During ▇▇▇▇▇▇’▇ service as an employee or director of any Carvana Company and for a period of twelve (12) months after any Termination Date, ▇▇▇▇▇▇ shall not, directly or indirectly, individually or an behalf of any other Person, solicit, aid or induce any advisor, consultant, employee, representative or agent of the Company, Parent or any Carvana Company Affiliate to leave such employment or retention or or, in the case of employees, to accept employment with or render services to or with any other Person person, firm, corporation or other entity unaffiliated with the Carvana CompaniesCompany, Parent or any Affiliate, or hire or retain any such advisor, consultant, employee, representative or agent, or take any action to materially assist or aid any other Person person, firm, corporation or other entity in identifying, hiring or soliciting any such employee, or (iii) interfere, or aid or induce any other person or entity in interfering, with the relationship between the Company, Parent or any Affiliate and any of their respective vendors, joint venturers or licensors. An employee, representative or agent. Any person described in this paragraph (c)(ii) agent shall be deemed covered by this paragraph (c)(iiSection 11(c) while so employed or retained and for a period of twelve six (126) months thereafter. Notwithstanding the foregoing, the provisions of this Section 11(c) shall not be violated by general advertising or solicitation not specifically targeted at Company, Parent or Affiliate-related individuals or entities.

NONSOLICITATION; NONINTERFERENCE. (i) During ▇▇▇▇▇▇’▇ service as an employee or director for any Carvana Company the Employment Term and for a period of twelve (12) 18 months after any following the Termination Date, ▇▇▇▇▇▇ Executive agrees that Executive shall not not, except in the furtherance of Executive’s duties with the Company, directly or indirectly, individually or on behalf of any other person, hire any person that is(A) solicit, or was during the twelve-month period immediately prior to ▇▇▇▇▇▇’▇ Termination Date, a customer, supplier or other business relation of any Carvana Company, aid or induce such any customer of the Company Group to purchase goods or services then sold by the Company Group from another person to cease, reduce or suspend doing business with any Carvana Company or hire or retain any such customer, supplier or other business relation or take any action to materially assist or aid any other Person persons or entity in identifying, hiring identifying or soliciting any such customer, supplier or (B) interfere, or aid or induce any other business relationperson or entity in interfering, with the relationship between the Company Group and any of their respective vendors, customers, joint venturers, licensees or licensors. (ii) During ▇▇▇▇▇▇’▇ service as an employee or director of any Carvana Company the Employment Term and for a period of twelve (12) 18 months after any following the Termination Date, ▇▇▇▇▇▇ Executive agrees that Executive shall not, except in the furtherance of Executive’s duties with the Company Group, directly or indirectly, individually or an on behalf of any other Personperson, solicit, aid or induce any advisoremployee, consultant, employee, representative or agent of the Company Group (or any Carvana employee, consultant, representative or agent who has left the employment or retention of the Company Group for less than nine months) (a “Covered Person”) to leave such employment or retention or to accept employment with or render services to or with any other Person person unaffiliated with the Carvana Companies, Company Group or hire or retain any such advisoremployee, consultant, employee, representative or agentagent or any Covered Person, or take any action to materially assist or aid any other Person person in identifying, hiring or soliciting any such employee, consultant, representative or agent. Any person described in this paragraph (c)(ii) shall be deemed covered by this paragraph (c)(ii) while so employed agent or retained and for a period of twelve (12) months thereafterany Covered Person.

During ▇▇▇▇▇▇’▇ service as an employee or director for any Carvana the Executive’s employment with the Company and for a period during the Restricted Period, the Executive agrees that the Executive shall not, except in the furtherance of twelve (12) months after any Termination Datethe Executive’s duties hereunder, ▇▇▇▇▇▇ shall not directly or indirectly, individually or on behalf of any other person, hire any person that isfirm, or was during the twelve-month period immediately prior to ▇▇▇▇▇▇’▇ Termination Date, a customer, supplier Company or other business relation of any Carvana Companyentity: (a) solicit, aid or induce such person any customer of the Company to ceasepurchase goods or services then sold by the Company from another person, firm, Company or other entity; (b) solicit, aid or induce any customer of the Company to reduce or suspend doing eliminate its or their purchases from or business with the Company; (c) solicit, aid or induce any Carvana vendor or subcontractor of the Company to reduce or hire eliminate its or retain any such customer, supplier their sales to or other business relation with the Company; or take any action to materially (d) assist or aid any other Person persons or entity in identifying, hiring soliciting, or soliciting influencing any such customer, supplier vendor or other business relationsubcontractor. (ii) 2. During ▇▇▇▇▇▇’▇ service as an employee or director of any Carvana the Executive’s employment with the Company and for a period of twelve (12) months after any Termination Dateduring the Restricted Period, ▇▇▇▇▇▇ the Executive agrees that the Executive shall not, except in the furtherance of the Executive’s duties hereunder, directly or indirectly, individually or an on behalf of any other Personperson, firm, Company or other entity, solicit, aid or induce any advisor, consultant, employee, representative or agent of any Carvana the Company to leave such employment or retention or to accept employment with or render services to or with any other Person person, firm, Company or other entity unaffiliated with the Carvana Companies, Company or hire or retain any such advisor, consultant, employee, representative or agent, or take any action to materially assist or aid any other Person person, firm, Company or other entity in identifying, hiring or soliciting any such employee, representative or agent. Any person described in this paragraph (c)(ii) An employee, representative or agent shall be deemed covered by this paragraph (c)(iiSection 14(C)(2) while so employed or retained and for a period of twelve six (126) months thereafter.

During ▇▇▇▇▇▇’▇ service as an employee or director for any Carvana the Executive’s employment with the Company and for a period during the Restricted Period, the Executive agrees that the Executive shall not, except in the furtherance of twelve (12) months after any Termination Datethe Executive’s duties hereunder, ▇▇▇▇▇▇ shall not directly or indirectly, individually or on behalf of any other person, hire any person that isfirm, or was during the twelve-month period immediately prior to ▇▇▇▇▇▇’▇ Termination Date, a customer, supplier Company or other business relation of any Carvana Companyentity: (a) solicit, aid or induce such person any customer of the Company to ceasepurchase goods or services then sold by the Company from another person, firm, Company or other entity; (b) solicit, aid or induce any customer of the Company to reduce or suspend doing eliminate its or their purchases from or business with the Company; (c) solicit, aid or induce any Carvana vendor or subcontractor of the Company to reduce or hire eliminate its or retain any such customer, supplier their sales to or other business relation with the Company; or take any action to materially (d) assist or aid any other Person persons or entity in identifying, hiring soliciting, or soliciting influencing any such customer, supplier vendor or other business relationsubcontractor. (ii) 2. During ▇▇▇▇▇▇’▇ service as an employee or director of any Carvana the Executive’s employment with the Company and for a period of twelve (12) months after any Termination Dateduring the Restricted Period, ▇▇▇▇▇▇ the Executive agrees that the Executive shall not, except in the furtherance of the Executive’s duties hereunder, directly or indirectly, individually or an on behalf of any other Personperson, firm, Company or other entity, solicit, aid or induce any advisor, consultant, employee, representative or agent of any Carvana the Company to leave such employment or retention or to accept employment with or render services to or with any other Person person, firm, Company or other entity unaffiliated with the Carvana Companies, Company or hire or retain any such advisor, consultant, employee, representative or agent, or take any action to materially assist or aid any other Person person, firm, Company or other entity in identifying, hiring or soliciting any such employee, representative or agent. Any person described in this paragraph (c)(ii) An employee, representative or agent shall be deemed covered by this paragraph (c)(iiSection 8(C)(2) while so employed or retained and for a period of twelve six (126) months thereafter.
