Common use of NONSOLICITATION; NONINTERFERENCE Clause in Contracts

NONSOLICITATION; NONINTERFERENCE. (a) During the Restricted Period, the Employee agrees that the Employee shall not, except in the furtherance of the Employee’s duties pursuant to Employee’s position with the relevant Company Group Member, directly or indirectly, individually or on behalf of any other person, firm, corporation or other entity, solicit, aid or induce any customer of any Company Group Member to purchase goods or services then sold by any Company Group Member from another person, firm, corporation or other entity or assist or aid any other persons or entity in identifying or soliciting any such customer. (b) During the Restricted Period, the Employee agrees that the Employee shall not, except in the furtherance of the Employee’s duties pursuant to Employee’s position with the relevant Company Group Member, directly or indirectly, individually or on behalf of any other person, firm, corporation or other entity, (A) solicit, aid or induce any employee, representative or agent of the Company Group to leave such employment or retention or to accept employment with or render services to or with any other person, firm, corporation or other entity unaffiliated with the Company Group or hire or retain any such employee, representative or agent, or take any action to materially assist or aid any other person, firm, corporation or other entity in identifying, hiring or soliciting any such employee, representative or agent, or (B) interfere, or aid or induce any other person or entity in interfering, with the relationship between the Company Group and any of their respective vendors, joint venturers or licensors. (c) An employee or contractor shall be deemed covered by this Section 3 while so employed or retained by any Company Group Member and for a period of six (6) months thereafter.

(a) During the Restricted PeriodExecutive’s employment with the Company and for a period of twelve (12) months thereafter, the Employee Executive agrees that the Employee Executive shall not, except in the furtherance of the EmployeeExecutive’s duties pursuant to Employee’s position with the relevant Company Group Memberhereunder, directly or indirectly, individually or on behalf of any other person, firm, corporation or other entity, (i) solicit, aid or induce any customer of the Company or any Company Group Member of its direct or indirect subsidiaries to purchase goods or services then sold by any the Company Group Member or any of its Affiliates from another person, firm, corporation or other entity or assist or aid any other persons or entity in identifying or soliciting any such customer. (b) During the Restricted Period, the Employee agrees that the Employee shall not, except in the furtherance of the Employee’s duties pursuant to Employee’s position with the relevant Company Group Member, directly or indirectly, individually or on behalf of any other person, firm, corporation or other entity, (Aii) solicit, aid or induce any employee, representative or agent of the Company Group to leave such employment or retention or to accept employment with or render services to or with any other person, firm, corporation or other entity unaffiliated with the Company Group or hire or retain any such employeeExecutive, representative or agent, or take any action to materially assist or aid any other person, firm, corporation or other entity in identifying, hiring or soliciting any such employeeExecutive, representative or agent, or (Biii) interfere, or aid or induce any other person or entity in interfering, with the relationship between the Company Group or any of its Affiliates and any of their respective vendors, joint venturers or licensors. (c) . An employee Executive, representative or contractor agent shall be deemed covered by this Section 3 5(c) while so employed or retained by any Company Group Member and for a period of six (6) months thereafter.

(a) During the Restricted PeriodEmployee’s employment with the Company and for a period of one (1) year thereafter, the Employee agrees that the Employee shall not, except in the furtherance of the Employee’s duties pursuant to Employee’s position with the relevant Company Group Memberhereunder, directly or indirectly, individually or on behalf of any other person, firm, corporation or other entity, solicit, aid or induce any customer of any Company Group Member to purchase goods or services then sold by any Company Group Member from another person, firm, corporation or other entity or assist or aid any other persons or entity in identifying or soliciting any such customer. (b) During the Restricted Period, the Employee agrees that the Employee shall not, except in the furtherance of the Employee’s duties pursuant to Employee’s position with the relevant Company Group Member, directly or indirectly, individually or on behalf of any other person, firm, corporation or other entity, . (A) solicit, aid or induce any employee, representative or agent of the Company Group or any of its subsidiaries or affiliates to leave such employment or retention or to accept employment with or render services to or with any other person, firm, corporation or other entity unaffiliated with the Company Group or hire or retain any such employee, representative or agent, or take any action to materially assist or aid any other person, firm, corporation or other entity in identifying, hiring or soliciting any such employee, representative or agent, or (B) interfere, or aid or induce any other person or entity in interfering, with the relationship between the Company Group or any of its subsidiaries or affiliates and any of their respective vendors, joint venturers or licensors. (c) . An employee employee, representative or contractor agent shall be deemed covered by this Section 3 8(c) while so employed or retained by any Company Group Member and for a period of six (6) months thereafter. The foregoing shall not be violated by general advertising not targeted at the Company’s employees, representatives or agents, serving as a reference upon request, or utilizing representatives or agents that serve multiple entities (provided that such utilization does not interfere with the Company’s relationships).

Ancillary to and in consideration for the mutual promises between the Executive and the Company contained in this Agreement (a) During including, but not limited to, the Company’s promise to provide Confidential Information and the Executive’s promise not to disclose same), during the Restricted Period, the Employee Executive agrees that the Employee Executive shall not, except in the furtherance of the Employee’s duties pursuant to Employee’s position with the relevant Company Group Member, directly or indirectly, individually or on behalf of any other person, firm, corporation or other entity, solicit, aid or induce any customer of any Company Group Member to purchase goods or services then sold by any Company Group Member from another person, firm, corporation or other entity or assist or aid any other persons or entity in identifying or soliciting any such customer. (b) During the Restricted Period, the Employee agrees that the Employee shall not, except in the furtherance of the Employee’s duties pursuant to Employee’s position with the relevant Company Group Member, directly or indirectly, individually or on behalf of any other person, firm, corporation or other entity, (Ai) solicit, aid or induce any customer of the Company Group to purchase goods or services then sold by the Company Group from another person, firm, corporation or other entity or assist or aid any other person or entity in identifying or soliciting any such customer, (ii) solicit, aid or induce any employee, representative representative, agent or agent other service provider of the Company Group to leave such employment employment, retention, service or, in the case of employees or retention or other service providers, to accept employment with or render services to or with any other person, firm, corporation or other entity unaffiliated with the Company Group Group, or hire or retain any such employee, representative employee or agentother service provider, or take any action to materially assist or aid any other person, firm, corporation or other entity in identifying, hiring or soliciting any such employee, representative employee or agentother service provider, or (Biii) interfere, or aid or induce any other person or entity in interfering, with the relationship between the Company Group and any of their respective vendors, joint venturers or licensors. (c) . An employee employee, representative or contractor agent shall be deemed covered by this Section 3 5(d) while so employed or retained by any Company Group Member and for a period of six (6) months thereafter.

(a) During the Restricted PeriodExecutive’s employment with the Company and for a period of twelve (12) months thereafter, the Employee Executive agrees that the Employee Executive shall not, except in the furtherance of the EmployeeExecutive’s duties pursuant to Employee’s position with the relevant Company Group Memberhereunder, directly or indirectly, individually or on behalf of any other person, firm, corporation or other entity, (i) solicit, aid or induce any customer of the Company or any Company Group Member of its direct or indirect subsidiaries to purchase goods or services then sold by any the Company Group Member or any of its Affiliates from another person, firm, corporation or other entity or assist or aid any other persons or entity in identifying or soliciting any such customer. (b) During the Restricted Period, the Employee agrees that the Employee shall not, except in the furtherance of the Employee’s duties pursuant to Employee’s position with the relevant Company Group Member, directly or indirectly, individually or on behalf of any other person, firm, corporation or other entity, (Aii) solicit, aid or induce any employee, representative or agent of the Company Group to leave such employment or retention or to accept employment with or render services to or with any other person, firm, corporation or other entity unaffiliated with the Company Group or hire or retain any such employee, representative or agent, or take any action to materially assist or aid any other person, firm, corporation or other entity in identifying, hiring or soliciting any such employee, representative or agent, or (Biii) interfere, or aid or induce any other person or entity in interfering, with the relationship between the Company Group or any of its Affiliates and any of their respective vendors, joint venturers or licensors. (c) . An employee employee, representative or contractor agent shall be deemed covered by this Section 3 5(c) while so employed or retained by any Company Group Member and for a period of six (6) months thereafter.

(a) During the Restricted PeriodExecutive’s employment with the Company and for a period of one (1) year thereafter, the Employee Executive agrees that the Employee Executive shall not, except in the furtherance of the EmployeeExecutive’s duties pursuant to Employee’s position with the relevant Company Group Memberhereunder, directly or indirectly, individually or on behalf of any other person, firm, corporation or other entity, (i) solicit, aid or induce any customer of any Company Group Member the Company, Parent or an Affiliate to purchase goods or services then sold by the Company, Parent or any Company Group Member Affiliate from another person, firm, corporation or other entity or assist or aid any other persons or entity in identifying or soliciting any such customer. (b) During the Restricted Period, the Employee agrees that the Employee shall not, except in the furtherance of the Employee’s duties pursuant to Employee’s position with the relevant Company Group Member, directly or indirectly, individually or on behalf of any other person, firm, corporation or other entity, (Aii) solicit, aid or induce any employee, representative or agent of the Company Group Company, Parent or any Affiliate to leave such employment or retention or or, in the case of employees, to accept employment with or render services to or with any other person, firm, corporation or other entity unaffiliated with the Company Group Company, Parent or any Affiliate, or hire or retain any such employee, representative or agent, or take any action to materially assist or aid any other person, firm, corporation or other entity in identifying, hiring or soliciting any such employee, representative or agent, or (Biii) interfere, or aid or induce any other person or entity in interfering, with the relationship between the Company Group Company, Parent or any Affiliate and any of their respective vendors, joint venturers or licensors. (c) . An employee employee, representative or contractor agent shall be deemed covered by this Section 3 11(c) while so employed or retained by any Company Group Member and for a period of six (6) months thereafter. Notwithstanding the foregoing, the provisions of this Section 11(c) shall not be violated by general advertising or solicitation not specifically targeted at Company, Parent or Affiliate-related individuals or entities.

NONSOLICITATION; NONINTERFERENCE. (a) 1. During the Executive’s employment with the Company and during the Restricted Period, the Employee Executive agrees that the Employee Executive shall not, except in the furtherance of the EmployeeExecutive’s duties pursuant to Employee’s position with the relevant Company Group Memberhereunder, directly or indirectly, individually or on behalf of any other person, firm, corporation Company or other entity, : (a) solicit, aid or induce any customer of any the Company Group Member to purchase goods or services then sold by any the Company Group Member from another person, firm, corporation Company or other entity entity; (b) solicit, aid or induce any customer of the Company to reduce or eliminate its or their purchases from or business with the Company; (c) solicit, aid or induce any vendor or subcontractor of the Company to reduce or eliminate its or their sales to or business with the Company; or (d) assist or aid any other persons or entity in identifying identifying, soliciting, or soliciting influencing any such customer, vendor or subcontractor. (b) 2. During the Executive’s employment with the Company and during the Restricted Period, the Employee Executive agrees that the Employee Executive shall not, except in the furtherance of the EmployeeExecutive’s duties pursuant to Employee’s position with the relevant Company Group Memberhereunder, directly or indirectly, individually or on behalf of any other person, firm, corporation Company or other entity, (A) solicit, aid or induce any employee, representative or agent of the Company Group to leave such employment or retention or to accept employment with or render services to or with any other person, firm, corporation Company or other entity unaffiliated with the Company Group or hire or retain any such employee, representative or agent, or take any action to materially assist or aid any other person, firm, corporation Company or other entity in identifying, hiring or soliciting any such employee, representative or agent. An employee, representative or (B) interfere, or aid or induce any other person or entity in interfering, with the relationship between the Company Group and any of their respective vendors, joint venturers or licensors. (c) An employee or contractor agent shall be deemed covered by this Section 3 8(C)(2) while so employed or retained by any Company Group Member and for a period of six (6) months thereafter.

NONSOLICITATION; NONINTERFERENCE. (a) During the Restricted PeriodEmployment Term and for a period of thirty-six (36) months after the termination of the Employment Term, the Employee agrees that the Employee shall not, except in the furtherance of the Employee’s duties pursuant to Employee’s position with the relevant Company Group Member, directly or indirectly, individually or on behalf of any other person, firm, corporation or other entity, solicit, aid or induce any customer of any Company Group Member to purchase goods or services then sold by any Company Group Member from another person, firm, corporation or other entity or assist or aid any other persons or entity in identifying or soliciting any such customer. (b) During the Restricted Period, the Employee agrees that the Employee shall not, except in the furtherance of the Employee’s duties pursuant to Employee’s position with the relevant Company Group Memberhereunder, directly or indirectly, individually or on behalf of any other person, firm, corporation or other entity, (Ai) solicit, aid or induce any customer of the Company or any of its affiliates to purchase goods or services then sold by the Company or any of its affiliates from another person, firm, corporation or other entity or assist or aid any other person or entity in identifying or soliciting any such customer, (ii) solicit, aid or induce any employee, representative or agent of the Company Group or any of its affiliates to leave such employment or retention or to accept employment with or render services to or with any other person, firm, corporation or other entity unaffiliated with the Company Group Company, or hire or retain any such employee, representative or agent, or take any action to materially assist or aid any other person, firm, corporation or other entity in identifying, hiring or soliciting any such employee, representative or agent, or (Biii) interfere, or aid or induce any other person or entity in interfering, with the relationship between the Company Group or any of its affiliates and any of their respective vendors, joint venturers or licensors. (c) . An employee employee, representative or contractor agent shall be deemed covered by this Section 3 10(c) while so employed or retained by any Company Group Member and for a period of six (6) months thereafter. Notwithstanding the foregoing, the provisions of this Section 10(c) shall not be violated by general advertising or solicitation not specifically targeted at Company-related persons or entities.

During the Executive’s employment with the Company and during the Restricted Period, the Employee Executive agrees that the Employee Executive shall not, except in the furtherance of the EmployeeExecutive’s duties pursuant to Employee’s position with the relevant Company Group Memberhereunder, directly or indirectly, individually or on behalf of any other person, firm, corporation Company or other entity, : (a) solicit, aid or induce any customer of any the Company Group Member to purchase goods or services then sold by any the Company Group Member from another person, firm, corporation Company or other entity entity; (b) solicit, aid or induce any customer of the Company to reduce or eliminate its or their purchases from or business with the Company; (c) solicit, aid or induce any vendor or subcontractor of the Company to reduce or eliminate its or their sales to or business with the Company; or (d) assist or aid any other persons or entity in identifying identifying, soliciting, or soliciting influencing any such customer, vendor or subcontractor. (b) 2. During the Executive’s employment with the Company and during the Restricted Period, the Employee Executive agrees that the Employee Executive shall not, except in the furtherance of the EmployeeExecutive’s duties pursuant to Employee’s position with the relevant Company Group Memberhereunder, directly or indirectly, individually or on behalf of any other person, firm, corporation Company or other entity, (A) solicit, aid or induce any employee, representative or agent of the Company Group to leave such employment or retention or to accept employment with or render services to or with any other person, firm, corporation Company or other entity unaffiliated with the Company Group or hire or retain any such employee, representative or agent, or take any action to materially assist or aid any other person, firm, corporation Company or other entity in identifying, hiring or soliciting any such employee, representative or agent. An employee, representative or (B) interfere, or aid or induce any other person or entity in interfering, with the relationship between the Company Group and any of their respective vendors, joint venturers or licensors. (c) An employee or contractor agent shall be deemed covered by this Section 3 14(C)(2) while so employed or retained by any Company Group Member and for a period of six (6) months thereafter.

(b) During the Restricted Period, the Employee agrees that the Employee shall not, except in the furtherance of the Employee’s duties pursuant to Employee’s position with the relevant Company Group Memberhereunder, directly or indirectly, individually or on behalf of any other person, firm, corporation or other entity, (A) solicit, aid or induce any employee, representative or agent of the Company Group or any of its subsidiaries or affiliates to leave such employment or retention or to accept employment with or render services to or with any other person, firm, corporation or other entity unaffiliated with the Company Group or hire or retain any such employee, representative or agent, or take any action to materially assist or aid any other person, firm, corporation or other entity in identifying, hiring or soliciting any such employee, representative or agent, or (B) interfere, or aid or induce any other person or entity in interfering, with the relationship between the Company Group or any of its subsidiaries or affiliates and any of their respective vendors, joint venturers or licensors. (c) . An employee employee, representative or contractor agent shall be deemed covered by this Section 3 8(c) while so employed or retained by any Company Group Member and for a period of six (6) months thereafter. The foregoing shall not be violated by general advertising not targeted at the Company’s employees, representatives or agents, serving as a reference upon request, or utilizing representatives or agents that serve multiple entities (provided that such utilization does not interfere with the Company’s relationships).
