Noncomplying Deliveries Sample Clauses

Noncomplying Deliveries. Seller recognizes that the failure to deliver Coal in accordance with this Agreement may, among other things (i) cause Buyer to be unable to operate the Facility without violating Applicable Laws pertaining to environmental matters, which violation might subject Buyer to civil and criminal penalties or injunctions preventing operation of the Facility, (ii) damage the Facility, if the deficiencies in the delivered Coal are not discovered before the Coal is burned in the Facility, or (iii) prevent the Facility from operating in an efficient manner. Therefore, the Parties agree as follows:
