Non-Voting Representatives Clause Samples

Non-Voting Representatives. The term “Non-Voting Representatives” means the representatives on the EC that are not eligible to vote on business and affairs of the Agency. The Non-Voting Representatives on the EC shall include representatives from the following: rural residential at-large, agricultural at-large and environmental at-large.

Non-Voting Representatives. The representativerepresentatives of the TNRCCTCEQ and EPA shall be noticed and invited to attend all meetings of the Executive CouncilBoard of Directors. Such invited representativerepresentatives shall not be considered a membermembers of the Executive Council,Board of Directors and shall have no voting rights, but isare invited to participate in discussions and provide recommendations. From time to time, the EPA or the TGLO may also elect in their sole discretion to have their representative become a non-voting representative under this Section 4.6, rather than a voting member under Section 4.1.

Non-Voting Representatives. Each member organization may designate additional non-voting representatives to participate in the Association.

Non-Voting Representatives. The representatives of the TCEQ and EPA shall be noticed and invited to attend all meetings of the Board of Directors. Such invited representatives shall not be considered members of the Board of Directors and shall have no voting rights, but are invited to participate in discussions and provide recommendations.

Non-Voting Representatives. The directors may, from time to time by majority vote, designate up to four additional non-voting representatives of the Board (the “Non-Voting Representatives”). The Non-Voting Representatives shall not have any power as directors to vote on any action to be taken or matter to be determined by the Board (and for such purposes the number of directors and number of votes on the Board shall be determined excluding all Non-Voting Representatives). Without limiting the generality of the foregoing, the consent of the Non-Voting Representatives shall not be required for, or counted for purposes of determining, any action to be taken by the Board in writing, and the presence of the Non-Voting Representatives shall not be required or counted for purposes of establishing quorum for the conduct of business of any meeting of the Board. Each Non-Voting Representative may at any time be removed and replaced by a majority vote of the directors.
