Non-USRPHC Certificate Sample Clauses

The Non-USRPHC Certificate clause requires a party to certify that an interest in real property is not a United States real property holding corporation (USRPHC) under U.S. tax law. In practice, this means the seller or transferor provides a statement confirming that the property or entity being transferred does not meet the criteria that would subject the transaction to special U.S. tax withholding rules. This clause is essential for ensuring compliance with tax regulations and avoiding unnecessary withholding, thereby facilitating smoother real estate or entity transfers involving foreign persons.
