Common use of Non-accountable Expenses Clause in Contracts

Non-accountable Expenses. The Company further agrees that, in addition to the expenses payable pursuant to Section 4.5(a), on the Closing Date it will reimburse the Representative for its reasonable and documented out-of-pocket expenses, including the fees and expenses of legal counsel to the Underwriters, related to the Offering in an amount up to $135,000 in the aggregate, which shall be paid by deduction from the proceeds of the Offering contemplated herein.

Non-accountable Expenses. The Company further agrees that, in addition to the expenses payable pursuant to Section 4.5(a4.6(a), on the Closing Date it will reimburse the Representative for its reasonable and documented out-of-pocket expenses, including the fees and expenses of legal counsel to the Underwriters, related to the Offering in an amount up to $135,000 in 75,000, $15,000 of which has been paid prior to the aggregatedate hereof, which shall be paid by deduction from the proceeds of the Offering contemplated herein.
