No Suspensions of Trading in Common Stock; Listing. The Common Stock (i) shall be designated for quotation or listed on the Principal Trading Market and (ii) shall not have been suspended, as of the Closing Date, by the Commission or the Principal Trading Market from trading on the Principal Trading Market nor shall suspension by the Commission or the Principal Trading Market have been threatened, as of the Closing Date, either (A) in writing by the Commission or the Principal Trading Market or (B) to the Company’s Knowledge, by failing to meet minimum listing, maintenance or eligibility requirements of the Principal Trading Market. The Company shall have obtained approval, if necessary, of the Principal Trading Market to list the Shares.
