A Prior to the exercise of Warrants in accordance with this Agreement, no Holder of a Warrant does not entitle the Registered Holder thereof shall be entitled to any of the rights of a shareholder of the Company, including, without limitation, the right to receive dividendsvote, or other distributionsto consent, to exercise any preemptive rights to vote or to consent or right, to receive any notice as shareholders in respect of the meetings of shareholders or for the election of directors of the Company or any other mattermatter or to receive any notice of any proceedings of the Company, other than as expressly provided herein or as otherwise agreed in writing by the Company.
