No Prior Transfer. Equityholder represents and warrants that Equityholder has not transferred, pledged, assigned, or otherwise hypothecated to any other Person all or any portion of any Released Claims (or any claims that would constitute Released Claims but for any such transfer, pledge, or assignment) or any rights or entitlements with respect thereto and the execution and delivery of this Agreement does not violate or conflict with the terms of any contract, agreement, or other instrument to which Equityholder is a party or by which Equityholder otherwise is bound.
No Prior Transfer. The Creditor has not previously transferred any interest in the Note or incurred any obligation to do so.
No Prior Transfer. Each party represents and warrants to the other that it has not sold, assigned, transferred, conveyed, or otherwise disposed of to any third party, by operation of law or otherwise, any action, cause of action, suit, debt, obligations, account, contract, agreement, covenant, guarantee, controversy, judgment, damage, claim, counterclaim, liability or demand of any nature whatsoever relating to any matter covered or released by this Agreement.
No Prior Transfer. The Parties hereby mutually represent and warrant that there has been no assignment, sale or other transfer or disposition of any interest in any of the Claims.
No Prior Transfer. Seller has not assigned and has not in any other way conveyed, transferred, or encumbered all or any portion of its right, title and interest to the AHP Payments or the Pfizer Payments, except as could not reasonably be expected to adversely affect Buyer's rights hereunder. Seller has received no notice from AHP or Pfizer that could reasonably be construed to mean that any future payment from AHP or Pfizer will not be timely made under the AHP Agreement or the Pfizer Agreement, respectively.
No Prior Transfer. No person other than such Investor has any rights to payment under any Notes issued to such Investor, and such Investor has not transferred or assigned, or agreed to transfer or assign, any of such Investor's rights under any Note acquired by such Investor.
No Prior Transfer. CI2 has not previously transferred any interest in the Note or incurred any obligation to do so.
No Prior Transfer. Seller has not previously sold, transferred, or conveyed the Property and Seller has not entered into any executory contracts for the sale of the Property (other than this Agreement), nor do there exist any rights of first refusal or options to purchase the Property.
No Prior Transfer. CYTOGEN has not sublicensed, assigned, transferred, conveyed or otherwise encumbered its right, title and interest in any of the Licensed CYTOGEN Patents or CYTOGEN Technical Information other than pursuant to the Original Agreement.
No Prior Transfer. Ferry has not transferred, assigned or ------------------ pledged all, or any part, of his rights under the 1994 Purchase Agreement, and the release by Ferry of his rights under the 1994 Purchase Agreement will constitute a full and complete release of any right owed under the 1994 Purchase Agreement, subject to Section 1546 of the California Civil Code.
