Common use of No Personal Liability Clause in Contracts

No Personal Liability. Except as otherwise required by applicable law and as expressly set forth in this Agreement, no Member shall have any personal liability whatsoever in such Person’s capacity as a Member, whether to the Company, to any of the other Members, to the creditors of the Company or to any other third party, for the debts, liabilities, commitments or any other obligations of the Company or for any losses of the Company. Except as otherwise required by the Act, each Member shall be liable only to make such Member’s Capital Contribution to the Company, if applicable, and the other payments provided for expressly herein.

No Personal Liability. Except as otherwise required by applicable law and as expressly set forth in this Agreement, no Member Unitholder shall have any personal liability whatsoever in such Person’s 's capacity as a MemberUnitholder, whether to the Company, to any of the other MembersUnitholders, to the creditors of the Company or to any other third party, for the debts, liabilities, commitments or any other obligations of the Company or for any losses of the Company. Except as otherwise required by the Act, each Member Each Unitholder shall be liable only to make such Member’s Unitholder's Initial Capital Contribution to the Company, if applicable, and the other payments provided for expressly herein.

Except as otherwise required by the Act, each Each Member shall be liable only to make satisfy such Member’s Capital Contribution Commitment to the Company, if applicable, and the other payments provided for expressly herein.
