No Orders, Proceedings or Investigations. No order suspending the effectiveness of any registration statement in respect of Parent Common Stock has been issued by the SEC and, to Parent’s Knowledge, no proceedings for that purpose have been initiated by the SEC. Parent is not, and has not ever been, and none of Parent’s past or present directors, officers, employees or Affiliates are, or have ever been, the subject of any civil, criminal or administrative proceeding or investigation by any Governmental Authority, including any such proceeding or investigation with respect to any alleged violation of any of the Securities Laws. None of Parent, the Merger Subs and the Parent Major Stockholders has any reason to believe that Parent or any of its officers, directors, employees or Affiliates will be the subject of any such proceeding or investigation.

No material labor dispute with the employees of the Company or any of its subsidiaries exists or, to the best of the Company’s knowledge, is threatened or imminent.
