No Options, Warrants, etc. There are no options, warrants, calls, rights, commitments or agreements of any character to which Pledgor is a party or by which it is bound obligating Pledgor to issue, deliver or sell or cause to be issued, delivered or sold, additional Pledged Shares or obligating Pledgor to grant, extend or enter into any such option, warrant, call, right, commitment or agreement. There are no voting trusts or other agreements or understandings to which Pledgor is a party with respect to the voting of the capital stock of any issuer of the Pledged Shares.
No Options, Warrants, etc. Except as provided in the Operating ------------------------- Agreement, there are no options, warrants, calls, rights, commitments or agreements of any character to which Pledgor is a party or by which it is bound obligating Pledgor to issue, deliver or sell or cause to be issued, delivered or sold, additional Pledged Shares or obligating Pledgor to grant, extend or enter into any such option, warrant, call, right, commitment or agreement. Except as provided in the Operating Agreement, there are no voting trusts or other agreements or understandings to which Pledgor is a party with respect to the voting of the capital stock of any issuer of the Pledged Shares.

There are no voting trusts or other agreements or understandings to which Pledgor is a party with respect to the voting of the capital stock of any issuer of the Pledged Shares except for the Management Agreement between the Pledgor and Insight Holdings of Ohio, LLC.
No Options, Warrants, etc. There are no options, warrants, calls, rights, commitments or agreements of any character affecting any Pledged Security to which such Pledgor is a party or by which it is bound obligating such Pledgor to issue, deliver or sell or cause to be issued, delivered or sold additional Pledged Securities or obligating such Pledgor to grant, extend or enter into any such option, warrant, call, right, commitment or agreement. There are no voting trusts or other agreements or understandings to which such Pledgor is a party with respect to the transfer, voting or exercise of any other right of the equity interests of any issuer of the Pledged Securities.
No Options, Warrants, etc. Except as set forth in this Agreement, the Facility Documentation and the Letter Agreement dated May 3, 2019 between the Company and the Seller, there are no (i) options, warrants, equity securities, calls, rights, commitments or agreements of any character to which the Seller or any of its Affiliates are a party with respect to the HP Shares, or (ii) voting trusts, stockholder agreements, proxies or other agreements or understandings in effect with respect to the HP Shares, including with respect to the voting, issuance, purchase, redemption, registration, repurchase, transfer or other disposition of the HP Shares.
No Options, Warrants, etc. Except for restrictions and limitations permitted by the Credit Documents or imposed by securities laws generally, the Pledged Securities are and will continue to be freely transferable and assignable, and none of the Pledged Securities are or will be subject to any option, right of first refusal, shareholders agreement, charter or by-law provisions or contractual restriction of any nature that might prohibit, impair, delay or otherwise affect the pledge of such Pledged Securities hereunder, the sale or disposition thereof pursuant hereto or the exercise by the Administrative Agent of rights and remedies hereunder.
No Options, Warrants, etc. At the Closing Time, any and all agreements and other commitments to issue options, warrants, shares or other securities in the capital of the Corporation shall have been terminated and full releases shall have been obtained for the benefit of the Corporation from the holders thereof, in form acceptable to the Purchaser acting reasonably.
No Options, Warrants, etc. Except as disclosed in the Credit Agreement, there are no options, warrants, calls, rights, commitments or agreements of any character to which the Pledgor is a party or by which it is bound obligating the Pledgor to issue, deliver or sell or cause to be issued, delivered or sold, additional securities of any issuer of the Pledged Shares or obligating any issuer of the Pledged Shares to grant, extend or enter into any such option, warrant, call, right, commitment or agreement. There are no voting trusts or other agreements or understandings to which the Pledgor or any issuer of the Pledged Shares is a party with respect to the voting of the securities of any issuer of the Pledged Shares.
No Options, Warrants, etc. There are no options, warrants, calls, rights, commitments or agreements of any character to which such Pledgor is a party or by which it is bound obligating such Pledgor to issue, deliver or sell or cause to be issued, delivered or sold additional Pledged Securities or obligating such Pledgor to grant, extend or enter into any such option, warrant, call, right, commitment or agreement. There are no voting trusts or other agreements or understandings to which such Pledgor is a party with respect to the transfer, voting or exercise of any other right of the equity interests of any issuer of the Pledged Securities (other than with respect to the equity interests in Xxxxxxxxxx Harbor Riverboats, L.L.C. and Xxxxxxxxxx Harbor Parking Associates, LLC).
No Options, Warrants, etc. There are no outstanding rights, rights to acquire, options, warrants, agreements to issue or any other agreements that would entitle any Person to purchase or otherwise acquire all or any portion of the Equity Interests.
