No Offsets. The obligations of Diamond Shamrock R & M to pay all amounts payable pursuant to this Facilities Lease (including specifically and without limitation amounts payable due under Articles VI and X hereof) shall be absolute and unconditional under any and all circumstances of any character, and such amounts shall be paid without notice, demand, defense, setoff, deduction or counterclaim and without abatement, suspension, deferment, diminution or reduction of any kind whatsoever, except as herein expressly otherwise provided.
