Common use of No Inconsistent Agreement Clause in Contracts

No Inconsistent Agreement. Each Shareholder hereby covenants and agrees that, except as contemplated by this Agreement, such Shareholder shall not enter into any agreement, arrangement or understanding with, or grant a proxy or power of attorney to, any Person with respect to the Owned Shares which would prevent such Shareholder from complying with obligations under this Agreement.

No Inconsistent Agreement. Each Shareholder hereby represents and covenants and agrees that, except as contemplated by this Agreement, that such Shareholder has not entered into, shall not enter into any agreementinto, arrangement or understanding with, or and shall not grant a proxy or power of attorney toto enter into any agreement or undertaking that would restrict, any Person limit, be inconsistent with respect to or interfere with the Owned Shares which would prevent performance of such Shareholder from complying with Shareholder’s obligations under this Agreementhereunder.

Each Such Shareholder hereby covenants and agrees that, except as contemplated by this Agreement, that such Shareholder (a) has not entered into and shall not enter into any agreementagreement that would restrict, arrangement limit or understanding with, interfere with the performance of such Shareholder’s obligations hereunder and (b) shall not knowingly take any action that would reasonably be expected to make any of his representations and warranties contained herein untrue or grant a proxy incorrect or power have the effect of attorney to, any Person with respect to the Owned Shares which would prevent such Shareholder preventing or disabling it from complying with performing his obligations under this Agreement.

No Inconsistent Agreement. Each Shareholder hereby represents and covenants and agrees that, except as contemplated by this Agreement, that such Shareholder has not, in such Person’s capacity as a shareholder of the Company, entered into, and shall not enter into any agreement, arrangement or understanding with, or grant a proxy or power of attorney tointo, any Person agreement that would restrict, limit or interfere with respect to the Owned Shares which would prevent performance of such Shareholder from complying with Shareholder’s obligations under this Agreement.
