No Inconsistent Agreement. Each Sponsor hereby represents and covenants that such Sponsor has not entered into, and shall not enter into, any agreement that would restrict, limit or interfere with the performance of such Sponsor’s obligations hereunder.
No Inconsistent Agreement. Each Company Stockholder hereby represents and covenants that such Company Stockholder has not entered into, and shall not enter into, any agreement that would restrict, limit or interfere with the performance of such Company Stockholder’s obligations hereunder.
No Inconsistent Agreement. The Principal Stockholder hereby covenants and agrees that he shall not enter into any agreement or grant a proxy or power of attorney with respect to the Shares or Options which is inconsistent with this Agreement.
No Inconsistent Agreement. The Company has not, as of the date hereof, entered into, nor shall it, on or after the date hereof, enter into, any agreement that conflicts with the rights granted to the Holders herein or otherwise conflicts with the provisions hereof.

The Company and the Subsidiary Guarantors have not, as of the date hereof, entered into, nor shall any of them, on or after the date hereof, enter into, any agreement that conflicts with the rights granted to the Holders herein or otherwise conflicts with the provisions hereof.
No Inconsistent Agreement. The Company will not hereafter enter into any agreement which is inconsistent with the rights granted to the Holders in this Agreement.
No Inconsistent Agreement. The Company represents and warrants that it will not enter into, or cause or permit any of its Subsidiaries to enter into, any agreement which conflicts with or limits or prohibits the exercise of the rights granted to the holders of Registrable Securities in this Agreement.
No Inconsistent Agreement. Each Shareholder hereby covenants and agrees that, except as contemplated by this Agreement, such Shareholder shall not enter into any agreement, arrangement or understanding with, or grant a proxy or power of attorney to, any Person with respect to the Owned Shares which would prevent such Shareholder from complying with obligations under this Agreement.
No Inconsistent Agreement.
