Common use of No Immunity Clause in Contracts

No Immunity. Neither the Company nor any of its subsidiaries or their properties or assets has immunity under Bermuda, U.S. federal or New York state law from any legal action, suit or proceeding, from the giving of any relief in any such legal action, suit or proceeding, from set-off or counterclaim, from the jurisdiction of any Bermuda, U.S. federal or New York state court, from service of process, attachment upon or prior to judgment, or attachment in aid of execution of judgment, or from execution of a judgment, or other legal process or proceeding for the giving of any relief or for the enforcement of a judgment, in any such court with respect to their respective obligations, liabilities or any other matter under or arising out of or in connection herewith; and, to the extent that the Company or any of its subsidiaries or any of its properties, assets or revenues may have or may hereafter become entitled to any such right of immunity in any such court in which proceedings arising out of, or relating to the transactions contemplated by this Agreement, the Registration Statement, the Pricing Disclosure Package and the Prospectus, may at any time be commenced, the Company has, pursuant to Section 18(d) of this Agreement, waived, and it will waive, or will cause its subsidiaries to waive, such right to the extent permitted by law.

No Immunity. Neither None of the Company nor or its Subsidiaries or any of its subsidiaries their respective properties, assets or their properties revenues has any right of immunity, under the laws of the Cayman Islands, the PRC, the State of New York, or assets has immunity under Bermudathe State of Florida, U.S. federal or New York state law from any legal action, suit or proceeding, from the giving of any relief in any such legal action, suit or proceeding, from set-off or counterclaim, from the jurisdiction of any BermudaXxxxxx Xxxxxxx, U.S. XXX, Xxx Xxxx, Xxxxxxx xx Xxxxxx Xxxxxx federal or New York state court, from service of process, attachment upon or prior to judgment, or attachment in aid of execution of judgment, or from execution of a judgment, or other legal process or proceeding for the giving of any relief or for the enforcement of a judgment, in any such court court, with respect to their respective its obligations, liabilities or any other matter under or arising out of or in connection herewithwith this Agreement, the Escrow Agreement or the Representative’s Warrants; and, to the extent that the Company or any of its subsidiaries Subsidiaries or any of its their respective properties, assets or revenues may have or may hereafter become entitled to any such right of immunity in any such court in which proceedings arising out of, or relating to the transactions contemplated by this Agreement, the Registration Statement, the Pricing Disclosure Package and the Prospectus, may at any time be commenced, each of the Company has, pursuant to Section 18(d) of this Agreement, waived, and it will waive, its Subsidiaries waives or will cause its subsidiaries to waive, waive such right to the extent permitted by lawlaw and has consented to such relief and enforcement as provided in this Agreement, the Escrow Agreement and the Representative’s Warrants.

Neither To the knowledge of the Company, neither the Company nor any of its subsidiaries or their properties or assets has immunity under BermudaAustralian, U.S. federal or New York state law from any legal action, suit or proceeding, from the giving of any relief in any such legal action, suit or proceeding, from set-off or counterclaim, from the jurisdiction of any BermudaAustralian, U.S. federal or New York state court, from service of process, attachment upon or prior to judgment, or attachment in aid of execution of judgment, or from execution of a judgment, or other legal process or proceeding for the giving of any relief or for the enforcement of a judgment, in any such court with respect to their respective obligations, liabilities or any other matter under or arising out of or in connection herewith; and, to the extent that the Company or any of its subsidiaries or any of its properties, assets or revenues may have or may hereafter become entitled to any such right of immunity in any such court in which proceedings arising out of, or relating to the transactions contemplated by this Agreement, the Registration Statement, the Pricing Disclosure Package and the Prospectus, may at any time be commenced, the Company has, pursuant to Section 18(d19(d) of this Agreement, waived, and it will waive, or will cause its subsidiaries to waive, such right to the extent permitted by law.

Neither the Company Company, nor any of its subsidiaries or variable interest entities nor any of their properties respective properties, assets or assets revenues has any right of immunity under Bermudathe laws of the Cayman Islands, U.S. federal or Hong Kong, the PRC, the State of New York state law York, from any legal action, suit or proceeding, from the giving of any relief in any such legal action, suit or proceeding, from set-off or counterclaim, from the jurisdiction of any BermudaXxxxxx Xxxxxxx, Xxxx Xxxx, XXX, Xxx Xxxx or U.S. federal or New York state court, from service of process, attachment upon or prior to judgment, or attachment in aid of execution of judgment, or from execution of a judgment, or other legal process or proceeding for the giving of any relief or for the enforcement of a judgment, in any such court court, with respect to their respective its obligations, liabilities or any other matter under or arising out of or in connection herewithwith this Agreement or the Deposit Agreement; and, to the extent that the Company Company, or any of its subsidiaries or variable interest entities or any of its their respective properties, assets or revenues may have or may hereafter become entitled to any such right of immunity in any such court in which proceedings arising out of, or relating to the transactions contemplated by this Agreement, the Registration Statement, the Pricing Disclosure Package and the Prospectus, may at any time be commenced, each of the Company has, pursuant to Section 18(d) of this Agreement, waived, and it will waive, its subsidiaries and variable interest entities waives or will cause its subsidiaries to waive, waive such right to the extent permitted by lawlaw and has consented to such relief and enforcement as provided in Section 18 of this Agreement and Section [●] of the Deposit Agreement.

No Immunity. Neither the Company nor any of its subsidiaries the Controlled Entities or their properties or assets has immunity under Bermudathe laws of the Cayman Islands, Hong Kong SAR, the PRC, U.S. federal or New York state law from any legal action, suit or proceeding, from the giving of any relief in any such legal action, suit or proceeding, from set-off or counterclaim, from the jurisdiction of any BermudaCayman Islands, Hong Kong SAR, the PRC, U.S. federal or New York state court, from service of process, attachment upon or prior to judgment, or attachment in aid of execution of judgment, or from execution of a judgment, or other legal process or proceeding for the giving of any relief or for the enforcement of a judgment, in any such court with respect to their respective obligations, liabilities or any other matter under or arising out of or in connection herewith; and, to the extent that the Company or any of its subsidiaries the Controlled Entities or any of its properties, assets or revenues may have or may hereafter become entitled to any such right of immunity in any such court in which proceedings arising out of, or relating to the transactions contemplated by this Agreement, the Registration Statement, the Pricing Disclosure Package and the ProspectusTransaction Documents, may at any time be commenced, the Company has, pursuant to Section 18(d) of 18(e)of this Agreement, waived, and it will waive, or will cause its subsidiaries the Controlled Entities to waive, such right to the extent permitted by law.

No Immunity. Neither the Company nor any of its subsidiaries or their properties or assets has immunity under Bermudathe laws of the State of Israel, U.S. federal or New York state law from any legal action, suit or proceeding, from the giving of any relief in any such legal action, suit or proceeding, from set-off or counterclaim, from the jurisdiction of any BermudaIsraeli, U.S. federal or New York state court, from service of process, attachment upon or prior to judgment, or attachment in aid of execution of judgment, or from execution of a judgment, or other legal process or proceeding for the giving of any relief or for the enforcement of a judgment, in any such court with respect to their respective obligations, liabilities or any other matter under or arising out of or in connection herewith; and, to the extent that the Company or any of its subsidiaries or any of its properties, assets or revenues may have or may hereafter become entitled to any such right of immunity in any such court in which proceedings arising out of, or relating to the transactions contemplated by this Agreement, the Registration Statement, the Pricing Disclosure Package and the Prospectus, may at any time be commenced, the Company has, pursuant to Section 18(d18(f) of this Agreement, waived, and it will waive, or will cause its subsidiaries to waive, such right to the extent permitted by law.

No Immunity. Neither the Company nor any of its subsidiaries or their properties or assets has immunity under Bermuda, U.S. federal or New York state law from any legal action, suit or proceeding, from the giving of any relief in any such legal action, suit or proceeding, from set-off or counterclaim, from the jurisdiction of any Bermuda, U.S. federal or New York state court, from service of process, attachment upon or prior to judgment, or attachment in aid of execution of judgment, or from execution of a judgment, or other legal process or proceeding for the giving of any relief or for the enforcement of a judgment, in any such court with respect to their respective obligations, liabilities or any other matter under or arising out of or in connection herewith; and, to the extent that the Company or any of its subsidiaries or any of its properties, assets or revenues may have or may hereafter become entitled to any such right of immunity in any such court in which proceedings arising out of, or relating to the transactions contemplated by this Agreement, the Registration Statement, the Pricing Disclosure Package and the Prospectus, may at any time be commenced, the Company has, pursuant to Section 18(d15(d) of this Agreement, waived, and it will waive, or will cause its subsidiaries to waive, such right to the extent permitted by law.

No Immunity. Neither the Company nor any of its subsidiaries or their properties or assets has immunity under Bermudathe State of Israel, U.S. federal or New York state law from any legal action, suit or proceeding, from the giving of any relief in any such legal action, suit or proceeding, from set-off or counterclaim, from the jurisdiction of any Bermudathe State of Israel, U.S. federal or New York state court, from service of process, attachment upon or prior to judgment, or attachment in aid of execution of judgment, or from execution of a judgment, or other legal process or proceeding for the giving of any relief or for the enforcement of a judgment, in any such court with respect to their respective obligations, liabilities or any other matter under or arising out of or in connection herewith; and, to the extent that the Company or any of its subsidiaries or any of its properties, assets or revenues may have or may hereafter become entitled to any such right of immunity in any such court in which proceedings arising out of, or relating to the transactions contemplated by this Agreement, the Registration Statement, the Pricing Disclosure Package and the Prospectus, may at any time be commenced, the Company has, pursuant to Section 18(d17(d) of this Agreement, waived, and it will waive, or will cause its subsidiaries to waive, such right to the extent permitted by law.

No Immunity. Neither the Company or any of its Subsidiaries, nor any of its subsidiaries their respective properties, assets or their properties or assets revenues, has immunity any right of immunity, under Bermudathe laws of the Cayman Islands, U.S. federal or Hong Kong, the PRC, the State of New York state law or the United States, from any legal action, suit or proceeding, from the giving of any relief in any such legal action, suit or proceeding, from set-off or counterclaim, from the jurisdiction of any BermudaCayman Islands, U.S. federal or Hong Kong, PRC, the State of New York state or United States federal court, from service of process, attachment upon or prior to judgment, or attachment in aid of execution of judgment, or from execution of a judgment, or other legal process or proceeding for the giving of any relief or for the enforcement of a judgment, in any such court court, with respect to their respective its obligations, liabilities or any other matter under or arising out of or in connection herewithwith this Agreement, the Note, the Registration Rights Agreement or the Deposit Agreement; and, to the extent that the Company Company, any of its Subsidiaries or any of its subsidiaries or any of its their respective properties, assets or revenues may have or may hereafter become entitled to any such right of immunity in any such court in which proceedings arising out of, or relating to the transactions contemplated by this Agreement, the Registration Statement, the Pricing Disclosure Package and the Prospectus, may at any time be commenced, each of the Company has, pursuant to Section 18(d) of this Agreement, waived, and it will waive, its Subsidiaries waives or will cause its subsidiaries to waive, waive such right to the extent permitted by law.

No Immunity. Neither None of the Company nor Issuer, the Guarantor, any other member of the Group, or any of its subsidiaries their respective properties, assets or their properties revenues is subject to any right or assets has immunity under Bermuda, U.S. federal or New York state law the laws of any jurisdiction from any legal action, suit or proceeding, from the giving of any relief in any such legal action, suit or proceeding, from set-off or counterclaim, from the jurisdiction of any Bermuda, U.S. federal or New York state court, from service of process, attachment upon or prior to judgment, or attachment in aid of execution of judgment, or from execution of a judgment, or other legal process or proceeding for the giving of any relief or for the enforcement of a judgment, in any such court with respect to their respective obligations, liabilities or any other matter under or arising out of or in connection herewith; and, to the extent that the Company Issuer, the Guarantor, any other member of the Group, or any of its subsidiaries or any of its their respective properties, assets or revenues may have or may hereafter become entitled to any such right of immunity in any such court in which proceedings arising out of, or relating to the transactions contemplated by this Agreement, the Registration Statement, the Pricing Disclosure Package and the ProspectusTransaction Documents, may at any time be commenced, the Company hasIssuer and the Guarantor have, pursuant to Section 18(d16(d) of this Agreement, waived, and it will waive, or will cause its subsidiaries any other member of the Group to waive, such right to the extent permitted by law.

No Immunity. Neither the Company nor any of its subsidiaries or their properties or assets has immunity under Bermudathe State of Israel, U.S. federal or New York state law from any legal action, suit or proceeding, from the giving of any relief in any such legal action, suit or proceeding, from set-off or counterclaim, from the jurisdiction of any BermudaIsraeli, U.S. federal or New York state court, from service of process, attachment upon or prior to judgment, or attachment in aid of execution of judgment, or from execution of a judgment, or other legal process or proceeding for the giving of any relief or for the enforcement of a judgment, in any such court with respect to their respective obligations, liabilities or any other matter under or arising out of or in connection herewith; and, to the extent that the Company or any of its subsidiaries or any of its properties, assets or revenues may have or may hereafter become entitled to any such right of immunity in any such court in which proceedings arising out of, or relating to the transactions contemplated by this Agreement, the Registration Statement, the Pricing Disclosure Package and the Prospectus, may at any time be commenced, the Company has, pursuant to Section 18(d16(e) of this Agreementhereof, waived, and it will waive, or will cause its subsidiaries to waive, such right to the extent permitted by law.

No Immunity. Neither the Company nor any of its subsidiaries Subsidiaries or their properties or assets has immunity under BermudaAustralian, U.S. federal or New York state law from any legal action, suit or proceeding, from the giving of any relief in any such legal action, suit or proceeding, from set-off or counterclaim, from the jurisdiction of any BermudaAustralian, U.S. federal or New York state court, from service of process, attachment upon or prior to judgment, or attachment in aid of execution of judgment, or from execution of a judgment, or other legal process or proceeding for the giving of any relief or for the enforcement of a judgment, in any such court with respect to their respective obligations, liabilities or any other matter under or arising out of or in connection herewith; and, to the extent that the Company or any of its subsidiaries Subsidiaries or any of its properties, assets or revenues may have or may hereafter become entitled to any such right of immunity in any such court in which proceedings arising out of, or relating to the transactions contemplated by this Agreement, the Registration Statement, the Pricing Disclosure Package and the ProspectusTransaction Documents, may at any time be commenced, the Company has, pursuant to Section 18(d) 10.3 of this Agreement, waived, and it will waive, or will cause its subsidiaries Subsidiaries to waive, such right to the extent permitted by law. Neither the Company Company, nor any of its subsidiaries or VIEs nor any of their properties respective properties, assets or assets revenues has any right of immunity under Bermudathe laws of the Cayman Islands, U.S. federal Hong Kong, the PRC or the State of New York state law York, from any legal action, suit or proceeding, from the giving of any relief in any such legal action, suit or proceeding, from set-off or counterclaim, from the jurisdiction of any BermudaXxxxxx Xxxxxxx, Xxxx Xxxx, XXX, Xxx Xxxx or U.S. federal or New York state court, from service of process, attachment upon or prior to judgment, or attachment in aid of execution of judgment, or from execution of a judgment, or other legal process or proceeding for the giving of any relief or for the enforcement of a judgment, in any such court court, with respect to their respective its obligations, liabilities or any other matter under or arising out of or in connection herewithwith this Agreement or the Deposit Agreement; and, to the extent that the Company Company, or any of its subsidiaries or VIEs or any of its their respective properties, assets or revenues may have or may hereafter become entitled to any such right of immunity in any such court in which proceedings arising out of, or relating to the transactions contemplated by this Agreement, the Registration Statement, the Pricing Disclosure Package and the Prospectus, may at any time be commenced, each of the Company has, pursuant to Section 18(d) of this Agreement, waived, and it will waive, its subsidiaries and VIEs waives or will cause its subsidiaries to waive, waive such right to the extent permitted by lawlaw and has consented to such relief and enforcement as provided in Section 19 of this Agreement and Section 7.6 of the Deposit Agreement.

Neither the Company Company, nor any of its subsidiaries nor any of their respective properties, assets or their properties or assets revenues has any right of immunity under BermudaCayman Islands, U.S. federal British Virgin Islands, Delaware, Hong Kong, PRC or New York state law law, from any legal action, suit or proceeding, from the giving of any relief in any such legal action, suit or proceeding, from set-off or counterclaim, from the jurisdiction of any BermudaCayman Islands, British Virgin Islands, Delaware, PRC, New York or U.S. federal or New York state court, from service of process, attachment upon or prior to judgment, or attachment in aid of execution of judgment, or from execution of a judgment, or other legal process or proceeding for the giving of any relief or for the enforcement of a judgment, in any such court court, with respect to their respective its obligations, liabilities or any other matter under or arising out of or in connection herewithwith this Agreement or the Deposit Agreement; and, to the extent that the Company Company, or any of its subsidiaries or any of its their respective properties, assets or revenues may have or may hereafter become entitled to any such right of immunity in any such court in which proceedings arising out of, or relating to the transactions contemplated by this Agreement, the Registration Statement, the Pricing Disclosure Package and the Prospectus, may at any time be commenced, each of the Company has, pursuant to Section 18(d) of this Agreement, waived, and it will waive, its subsidiaries waives or will cause its subsidiaries to waive, irrevocably and unconditionally waive such right to the extent permitted by lawlaw and has consented to such relief and enforcement as provided in Section 20 of this Agreement and Section 7.6 of the Deposit Agreement.

No Immunity. Neither the Company nor any of its subsidiaries or their properties or assets has immunity under Bermudathe Bailiwick of Jersey, U.S. federal or New York state law from any legal action, suit or proceeding, from the giving of any relief in any such legal action, suit or proceeding, from set-off or counterclaim, from the jurisdiction of any BermudaBailiwick of Jersey, U.S. federal or New York state court, from service of process, attachment upon or prior to judgment, or attachment in aid of execution of judgment, or from execution of a judgment, or other legal process or proceeding for the giving of any relief or for the enforcement of a judgment, in any such court with respect to their respective obligations, liabilities or any other matter under or arising out of or in connection herewith; and, to the extent that the Company or any of its subsidiaries or any of its properties, assets or revenues may have or may hereafter become entitled to any such right of immunity in any such court in which proceedings arising out of, or relating to the transactions contemplated by this Agreement, the Registration Statement, the Pricing Disclosure Package and the Prospectus, may at any time be commenced, the Company has, pursuant to Section 18(d) of this Agreement, waived, and it will waive, or will cause its subsidiaries to waive, such right to the extent permitted by law.

No Immunity. Neither the Company nor any of its subsidiaries or their properties or assets has immunity under Bermudathe Republic of Singapore, U.S. federal or New York state law from any legal action, suit or proceeding, from the giving of any relief in any such legal action, suit or proceeding, from set-off or counterclaim, from the jurisdiction of any BermudaRepublic of Singapore, U.S. federal or New York state court, from service of process, attachment upon or prior to judgment, or attachment in aid of execution of judgment, or from execution of a judgment, or other legal process or proceeding for the giving of any relief or for the enforcement of a judgment, in any such court with respect to their respective obligations, liabilities or any other matter under or arising out of or in connection herewith; and, to the extent that the Company or any of its subsidiaries or any of its properties, assets or revenues may have or may hereafter become entitled to any such right of immunity in any such court in which proceedings arising out of, or relating to the transactions contemplated by this Agreement, the Registration Statement, the Pricing Disclosure Package and the Prospectus, may at any time be commenced, the Company has, pursuant to Section 18(d21(b) of this Agreement, waived, and it will waive, or will cause its subsidiaries to waive, such right to the extent permitted by law.

No Immunity. Neither None of the Company nor or its subsidiaries is subject to any right or immunity under any civil or commercial law with respect to their respective obligations under the Transaction Documents, and none of the Company, any of its subsidiaries subsidiaries, or any of their properties respective properties, assets or assets has revenues is subject to any right or immunity under Bermudathe laws of Colombia, Panamá, the United States of America (each, a “Relevant Jurisdiction” and together the “Relevant Jurisdictions”) or any political subdivision thereof including U.S. federal or and New York state law state, or any other applicable jurisdiction from any legal action, suit or proceeding, from the giving of any relief in any such legal action, suit or proceeding, from set-off or counterclaim, from the jurisdiction of any Bermuda, U.S. federal or New York state courtcourt in any Relevant Jurisdiction, from service of process, attachment upon or prior to judgment, or attachment in aid of execution of judgment, or from execution of a judgment, or other legal process or proceeding for the giving of any relief or for the enforcement of a judgment, in any such court with respect to their respective obligations, liabilities or any other matter under or arising out of or in connection herewith; and, to the extent that the Company Company, any of its subsidiaries, or any of its subsidiaries or any of its their respective properties, assets or revenues may have or may hereafter become entitled to any such right of immunity in any such court in which proceedings arising out of, or relating to the transactions contemplated by this Agreement, the Registration Statement, the Pricing Disclosure Package and the ProspectusTransaction Documents, may at any time be commenced, the Company has, pursuant to Section 18(d18(g) of this Agreement, waived, and it will waive, or will cause its subsidiaries to waive, such right to the extent permitted by law.
