NO GAIN OR LOSS. No gain or loss will be recognized by Old Kent on the constructive acquisition by Old Kent of substantially all of the assets of Grand Premier in exchange for Old Kent Capital Stock and the assumption by Old Kent of the liabilities of Grand Premier.
NO GAIN OR LOSS. No gain or loss will be recognized to Old Kent on the receipt by Old Kent of the assets of First Evergreen in exchange for Old Kent Common Stock and the assumption by Old Kent of the liabilities of First Evergreen.
