No Fractional Purchaser Shares. No fractional Purchaser Shares will be issued to any Person in connection with this Plan of Arrangement. Where the aggregate number of Purchaser Shares to be issued to a Company Shareholder pursuant to this Arrangement would otherwise result in a fraction of a Purchaser Share being issuable, then the aggregate number of Purchaser Shares to be issued to such Company Shareholder shall be rounded down to the closest whole number and no compensation shall be payable to such Company Shareholder in lieu of any such fractional Purchaser Share.
No Fractional Purchaser Shares. No fractional Purchaser Shares will be issued to any Person in connection with this Amended Plan of Arrangement. Where the aggregate number of New Subordinate Shares or New Multiple Shares to be issued to a Company Shareholder pursuant to this Amended Arrangement would otherwise result in a fraction of a New Subordinate Share or New Multiple Share being issuable, then the aggregate number of New Subordinate Shares or New Multiple Shares to be issued to such Company Shareholder shall be rounded down to the closest whole number and no compensation shall be payable to such Company Shareholder in lieu of any such fractional New Subordinate Shares or New Multiple Shares. Where the aggregate number of Purchaser Shares to be issued to a Shareholder pursuant to this Amended Arrangement would otherwise result in a fraction of a Purchaser Share being issuable, then the aggregate number of Purchaser Shares to be issued to such Shareholder shall be rounded down to the closest whole number and no compensation shall be payable to such Shareholder in lieu of any such fractional Purchaser Share.

Where the aggregate number of Purchaser Shares to be issued to a Company Shareholder pursuant to this Plan of Arrangement would otherwise result in a fraction of a Purchaser Share being issuable, the number of Purchaser Shares to be received by such Company Shareholder shall be rounded down to the next lesser whole number of Purchaser Shares. In calculating such fractional interests, all Company Shares registered in the name of a Company Shareholder or its nominee shall be aggregated.

No Fractional Purchaser Shares. No fractional share of Purchaser Shares shall be issued to former Company Shareholders in connection with this Plan of Arrangement. The number of Purchaser Shares to be issued to former Company Shareholders shall be rounded up to the nearest whole share of Purchaser Shares in the event that a former Company Shareholder would otherwise be entitled to a fractional share representing 0.5 or more of a share of Purchaser Shares and shall be rounded down to the nearest whole Purchaser Share in the event that a former Company Shareholder is entitled to a fractional share representing less than 0.5 of a Purchaser Share. No compensation will be paid to a former Company Shareholder in respect of such fractional share of Purchaser Shares.

Where the aggregate number of Purchaser Shares to be issued to a Company Shareholder, Company RSU Holder or Company Warrantholder as consideration under this Plan of Arrangement would result in a fraction of a Purchaser Share being issuable, then the number of Purchaser Shares to be issued to such Company Shareholder, Company RSU Holder or Company Warrantholder, as applicable, shall be rounded down to the closest whole number and, in lieu of the issuance of a fractional Purchaser Share thereof, the Purchaser will pay to each such holder a cash payment (rounded up to the nearest cent) determined by reference to the volume weighted average trading price of Purchaser Shares on the TSX for the fifteen trading days on which such Purchaser Shares trade on the TSX immediately preceding the Effective Date.
No Fractional Purchaser Shares. In no event shall any holder of Detour Shares be entitled to a fractional Purchaser Share. Where the aggregate number of Purchaser Shares to be issued to a Detour Shareholder as Share Consideration under the Arrangement would result in a fraction of a Purchaser Share being issuable, the number of Purchaser Shares to be received by such Detour Shareholder shall be rounded down to the nearest whole Purchaser Share. In lieu of any such fractional Purchaser Share, the Purchaser will pay to each such holder a cash payment (rounded down to the nearest cent) determined by reference to the volume weighted average trading price of one Purchaser Share on the TSX during the five trading days ending on the last trading day prior to the Effective Date.
No Fractional Purchaser Shares. In no event shall any fractional Purchaser Shares be issued under this Plan of Arrangement. Where the aggregate number of Purchaser Shares to be issued to a Company Common Shareholder as consideration under this Plan of Arrangement would result in a fraction of a Purchaser Share being issuable, then the number of Purchaser Shares to be issued to such Company Common Shareholder shall be rounded down to the closest whole number and, in lieu of the issuance of a fractional Purchaser Share thereof, the Purchaser will pay to each such holder a cash payment (rounded down to the nearest cent) based on a price per Purchaser Share of $12.60.
No Fractional Purchaser Shares. In no event shall any holder of Exeter Shares be entitled to a fractional Purchaser Share. Where the aggregate number of Purchaser Shares to be issued to a Exeter Shareholder as consideration under or as a result of this Arrangement would result in a fraction of a Purchaser Share being issuable, the number of Purchaser Shares to be received by such Exeter Shareholder shall be rounded down to the nearest whole Purchaser Share and no former Exeter Shareholder will be entitled to any compensation in respect of a fractional Purchaser Share.
