No Conviction. No Shareholder has ever been convicted of a criminal offense relating to the Medicare or any federally-funded state health care program. For purposes of this Agreement, the term conviction includes the entry of a plea of guilty or no contendere and participation in a first offender, deferred adjudication, or other arrangement or program whereby a judgment of conviction has been withheld.
