No Conflict of Rights. The Company represents and warrants to the Purchasers that the registration rights granted to the Purchasers hereby do not conflict with any other registration rights granted by the Company. The Company shall not, after the date hereof, grant any registration rights which conflict with or impair, or have any priority over, the registration rights granted hereby. In any underwritten public offering initiated pursuant to Section 2(a), the managing underwriter shall be a nationally recognized investment banking firm selected by the Company, and reasonably acceptable to CVCA.
