Neither the whole nor any portion of the property or any other assets of Seller to be conveyed to Buyer is subject to any governmental decree or order to be sold or is being condemned, expropriated or otherwise taken by any public authority with or without payment of compensation therefore, nor to the best of Seller's, its officers' and directors' knowledge has any such condemnation, expropriation or taking been proposed.
