No Change in Business or Credit Guidelines. Except as provided in the Transfer Agreement, the Seller will not make any change in the character of its business or in the Credit Guidelines, which change might, in either case, impair the collectability of any substantial portion of the Receivables or otherwise result in a Material Adverse Effect.
