NGOs and Community Groups. No dispute between the Company or any of its subsidiaries and any non-governmental organization, community or community group exists or, to the knowledge of the Company, is threatened or imminent with respect to any of the Company Properties or operations. The Company has provided the Purchaser and its Representatives with full and complete access to all material correspondence received by the Company, its subsidiaries or their Representatives from any non-governmental organization, community, community group or Native American or aboriginal group.

No material dispute between Primero or any of its Subsidiaries and any non-governmental organization, community or community group exists or, to the best of Primero's knowledge, is threatened or imminent with respect to any the Acquired Properties or any exploration, development or production activities relating to the Purchased Assets.
