Any complaint, cause of action, or petition for writ of mandate filed by any Third Person in a court proceeding before, on, or after the Ef ective Date of this Agreement, by which the Third Person seeks to rescind, modify, invalidate, or delay the implementation of, the Sale Transaction, the CSU Approval Actions, or the City Approval Actions, or any constituent aspect of those matters, or seeks to compel either CSU or the City to take any future actions that dif er from the CSU Approval Actions or the City Approval Actions.
