Nabriva Sample Clauses
Nabriva and Hovione each hereby confirm and ratify, except for the sections of the Agreement specifically amended hereunder, all terms, conditions, and provisions of the Agreement, which remain and shall remain in full force and effect as of the Effective Date. This Amendment shall hereafter be incorporated into and deemed part of the Agreement and any future reference to the Agreement shall include the terms and conditions of this Amendment.
Nabriva. Therapeutics AG, a stock company with its corporate seat in Vienna and its business address in ▇▇▇▇▇▇▇▇▇▇▇ ▇▇, ▇-▇▇▇▇ ▇▇▇▇▇▇ registered with the Commercial Registry (Firmenbuch) of the court of Vienna under FN 269261 y (the Company or Nabriva). The parties set out under (1) to (14) above shall hereinafter be referred to as the Shareholders and each individually as a Shareholder and together with Nabriva as the Parties and each individually as a Party.
Nabriva and the SEL shall jointly own all right, title, and interest in and to any and all ideas, works, information, inventions, improvements or the like (whether patentable or unpatentable) that are developed jointly by SEL and NABRIVA in the course of performing work for NABRIVA and that relate to the Key Intermediate, along with all intellectual property rights, with respect thereto (the “Product-Related Inventions”). All Product-Related Inventions automatically will be considered as Confidential Information under the terms of Section IV.
