Common use of Mutual Warranty Clause in Contracts

Mutual Warranty. Each party represents and warrants that: (a) this Agreement is legally binding upon it and enforceable in accordance with its terms; and (b) it shall comply with all laws, rules, and regulations applicable to the exercise of its rights and performance of its obligations hereunder.

Each party represents and warrants that: that it (ai) has validly entered into this Agreement is legally binding upon it and enforceable in accordance with its terms; has the legal power to do so and (bii) it shall comply with all lawsapplicable local, rulesstate, and regulations applicable to the exercise of national, international or foreign law or regulation in connection with its rights and performance of its obligations hereunderunder this Agreement.

Mutual Warranty. Each party Party represents and warrants that: (a) that this Agreement is legally has been duly authorized, executed and delivered and constitutes a valid and binding upon it and agreement enforceable against the other Party in accordance with its terms; and (b) it shall comply with all laws, rules, and regulations applicable to the exercise of its rights and performance of its obligations hereunder.
