Mortgagors Negative Covenants. That Mortgagor will not, unless Mortgagee shall otherwise consent in writing: Create, suffer or permit to exist any lien or encumbrance against all or any part of the premises except as permitted by this Mortgage; Sell, lease, transfer or otherwise dispose of any part of the premises, whether now owned or hereafter acquired, except as otherwise permitted by this Mortgage; provided, that the transfer of all or any portion of any equity or other securities of Mortgagor (including any warrants, options or other securities exchangeable or convertible into any of the foregoing) shall not constitute the sale, lease, transfer or other disposition of the premises; or Enter into a sale of assets, consolidation or merger agreement which would involve a change of ownership of the premises.
Mortgagors Negative Covenants. 5.1 Waste and Alterations. Mortgagor will not commit or permit any waste with respect to the Property or the Chattels. Mortgagor shall not cause or permit any part of the Property, including but not limited to any building, structure, parking lot, driveway, landscape scheme, timber, or other ground improvement, to be removed, demolished, or materially altered without the prior written consent of Mortgagee.
