More alternative provision?. From the ABP and school-level interviews and from the school questionnaire, a strong theme for the future was a need for more, and more varied, alternative provision. ‘The appalling lack of facilities for students with sever behavioural issues means that […] schools are left trading highly volatile students in managed moves […]’ (senior leader) The limited options (in some areas, reportedly, no options) at Key Stage 3 (KS3) was a particularly strong issue: ‘The real problem that we have is a lack of high quality KS3 alternative provision […]’ (senior leader) This view was endorsed by a majority of those who responded to the school questionnaire:  all but two (18 of 20) senior leaders who responded to the questionnaire ‘strongly agreed’ (16) or ‘agreed’ that, ‘our ABP needs (more) good, local KS3 alternative provision’. o The two exceptions both ‘strongly disagreed’ and both were from South ABP The need for a wider range of providers on the existing Framework Agreement was also expressed. Among the 20 senior leaders who responded to the school questionnaire:  all but one (19 of 20) ‘strongly agreed’ (14) or ‘agreed’ (5) that, ‘our ABP would benefit from a greater range of local providers than is on the Framework Agreement (e.g. providers of positive male mentors, of a wider range of vocational areas, of specialist tutors for English and Maths)’. In the school-level interviews, more than one wanted the future range of provision to include area-based or even on-site alternative provision that was controlled by ABP headteachers. For example, School 5 stated a desire to create an, ‘on-site unit for students with social, emotional and mental health needs that are not able to manage within the mainstream environment’. As another example, School 6 had an off-site provision but wanted to be able to offer practical, vocational areas such as Motor Vehicle and Hair and Beauty – but also noted a potential down-side of this idea: ‘on the other hand, you don’t want all the high profile young people in one place’. Interviewees in that school argued that what was needed was alternative provision [we paraphrase here] that does the sort of things done by The Prince’s Trust, such as outdoor and life skills and qualifications; also the sort of support around drugs provided by Compass; and the kind of therapeutic support that state boarding schools offer; plus male mentors for boys who’ve drifted into the drug scene (‘they need a father figure’).   • Leave Provisions The benefits which are expressly provided by this section, Article 10.0, are the sole benefits which are part of this collective Agreement, and it is agreed that other statutory or regulatory leave benefits are not incorporated, either directly or implicitly, into this Agreement, nor are such other benefits subject to the grievance procedure, Article 20.   • Protective Provisions In addition to any vote required by the General Corporation Law, other applicable law, the Certificate of Incorporation, or this Certificate of Designations, for so long as any of the shares of Series A Preferred Stock shall remain outstanding, the Corporation shall not, either directly or indirectly by amendment, merger, consolidation or otherwise, take any of the following actions, including whether by merger, consolidation or otherwise, without (in addition to any other vote required by the General Corporation Law, other applicable law, the Certificate of Incorporation, or this Certificate of Designations), the written consent or affirmative vote of the Holders of at least a majority of the then outstanding shares of Series A Preferred Stock voting as a separate class to: (i) authorize, create, or increase the authorized amount of, or issue any class or series of Senior Stock, or reclassify or amend the provisions of any existing class of securities of the Corporation into shares of Senior Stock; (ii) authorize, create or issue any stock or debt instrument or other obligation that is convertible or exchangeable into shares of its Senior Stock (or that is accompanied by options or warrants to purchase such Senior Stock); (iii) amend, alter or repeal any provision of the Certificate of Incorporation or this Certificate of Designations, in either case, in a manner that materially adversely affects the special rights, preferences, privileges or voting powers of the Series A Preferred Stock; (iv) declare or pay any dividends or other distributions in cash or property with respect to its Common Stock or other Junior Stock; (v) redeem, repurchase or acquire shares of its Common Stock or other Junior Stock (other than with respect to customary repurchase rights or tax withholding arrangements with respect to equity awards or benefit plans); or (vi) redeem, repurchase, recapitalize or acquire shares of its Parity Stock other than (A) pro rata offers to purchase all, or a pro rata portion, of the Series A Preferred Stock and such Parity Stock, (B) as a result of a reclassification of Parity Stock for or into other Parity Stock or Junior Stock, (C) the exchange or conversion of Parity Stock for or into other Parity Stock or Junior Stock or (D) the purchase of fractional interests in shares of Parity Stock pursuant to the conversion or exchange provisions of such Parity Stock or the security being converted or exchanged.

  • Administrative Provisions (a) Replies to grievances at Step 2 of the grievance procedure and notification to arbitrate shall be by certified mail, courier or by facsimile. (b) Grievances, replies, and notification shall be deemed to have been presented on the date on which they were verifiably transmitted, and received on the date they were delivered to the appropriate office of the Employer or the Union.

  • Alternate Payment and Notice Provisions Notwithstanding any provision of this Indenture or any of the Notes to the contrary, the Issuer may enter into any agreement with any Holder of a Note providing for a method of payment, or notice by the Indenture Trustee or any Paying Agent to such Holder, that is different from the methods provided for in this Indenture for such payments or notices. The Issuer will furnish to the Indenture Trustee a copy of each such agreement and the Indenture Trustee will cause payments to be made and notices to be given in accordance with such agreements.
