Common use of Modifications and Add-ons Clause in Contracts

Modifications and Add-ons. Licensee may not make Modifications or Add-Ons to the Software as such terms are defined in the GTC without SAP’s prior written consent. Licensee expressly agrees that any Modifications and Add-Ons of the Software shall become part of the Software and will be the property of SAP AG or its licensors and that Licensee will not grant, either expressly or by implication, any rights, title, interest or licenses to the Modifications and Add-Ons to any third party. In the event SAP provides prior written consent to Licensee to make Modifications or Add-Ons to the Software, Licensee shall provide complete source code for all Modifications and Add-Ons to SAP.
