Add-ons. The ownership of the Add-ons developed by Provider shall vest in Provider or the Customer as provided in the Customer Services Agreement subject to SAP’s rights in and to the Software. Provider may copy and may include Redistributable Files in Add-ons. Any Provider created Add-ons that contain Redistributable Files must not be made (directly or indirectly) subject to an Excluded License. In the event Provider distributes or makes available Add-ons to third parties, Provider will indemnify SAP, SAP SE and their affiliated companies against any and all claims brought against them (individually or jointly) arising from Licensee’s development and distribution of such Provider Add-on. In exchange for the right to develop Add-ons under this Agreement, Provider covenants not to assert any Intellectual Property Rights in Add-ons created by Provider against any SAP product, service, or future SAP development.
Add-ons. (a) Partner may make Add-ons to the Software in furtherance of its permitted use under the Agreement. Partner may distribute or sublicense Add-ons with the Software only to the same extent as that applied to Partner’s grant of the Software set forth herein. All Add-ons developed by SAP or its Affiliates (either independently or jointly with Partner) and all rights associated therewith are the exclusive property of SAP and its Affiliates. Partner agrees to execute those documents reasonably necessary to secure SAP or its Affiliates’ rights in the foregoing. All Add- ons developed by or on behalf of Partner without SAP or its Affiliates’ participation (“Partner Add- on”), and all rights associated therewith, are the exclusive property of Partner subject to SAP’s rights in and to the Software and SAP Materials.
Add-ons. Subject to the terms and conditions of this Agreement, UiPath further grants Customer and its Affiliates, during the License Term, the right to develop Add-ons by using the Technology, provided that, to the extent there is any UiPath Background IPR in the Add-ons, (i) use of the UiPath Background IPR is limited to the License Term, and (ii) Customer is not allowed to use the UiPath Background IPR and will not allow its Authorized Users or any third party to use the UiPath Background IPR for (a) benchmarking or comparison purposes, or (b) to acquire any technical specifications or gain a competitive technological or business advantage, or (c) to analyze the Technology and the Background IPR for the purpose of designing, modifying, creating a derivative work or creating any software program that performs functions similar to the functions performed by the UiPath Background IPR used in conjunction with the Add-ons.
Add-ons a. Your membership can be upgraded with optional Add-ons. These can vary per club. Current information, including rates for the extras, can be found on the mobile app, on xxx.xxxx.xx, or can be requested in the club.
