Common use of Merger, Dissolution, etc. of Fund Clause in Contracts

Merger, Dissolution, etc. of Fund. In the case of the following transactions, not in the ordinary course of business, namely, the merger of a Fund or Portfolio into, the consolidation of a Fund or Portfolio with, or the sale by a Fund or Portfolio of all, or substantially all, of its assets to another investment company, or the liquidation or dissolution of a Fund or Portfolio and the distribution of its assets, upon the payment of the fees, disbursements and expenses of the Bank through the end of the then current term of this Agreement with respect to the Fund, the Bank will deliver the Portfolio Securities held by it under this Agreement and disburse cash only upon the order of the Fund set forth in an Officers' Certificate, accompanied by a certified copy of a resolution of the Board authorizing any of the foregoing transactions. Upon completion of such delivery and disbursement and the payment of all such fees, disbursements and expenses of the Bank, this Agreement will terminate and the Bank shall be released from any and all obligations hereunder, except for obligations of the Bank arising prior to the date of such termination and those obligations under Section 14.

In the case of the following transactions, not in the ordinary course of business, namely, the merger of a Fund Portfolio into or Portfolio into, the consolidation of a Fund the Portfolio with another investment company or Portfolio withseries thereof, or the sale by a Fund or Portfolio of all, or substantially all, of its assets to another investment companycompany or series thereof, or the liquidation or dissolution of a Fund or Portfolio and the distribution of its assets, upon the payment of the fees, disbursements and expenses of the Bank owed by such Portfolio through the end of the then current term of this Agreement with respect to the FundAgreement, the Bank will deliver the Portfolio Securities held by it under this Agreement and disburse cash only upon the order of the Fund set forth in an Officers' Certificate, accompanied by a certified copy of a resolution of the Board authorizing any of the foregoing transactions. Upon completion of such delivery and disbursement and the payment of all such fees, disbursements and expenses of the BankBank by the applicable Portfolio, this Agreement will terminate as to such Portfolio and the Bank shall be released from any and all obligations hereunder, except for obligations of the Bank arising prior hereunder as they relate to the date of such termination and those obligations under Section 14Portfolio.
