Merger and Effective Time. In accordance with the provisions of Applicable Law and subject to the terms and conditions of this Agreement, NMB, shall be merged with and into WFLA (the “Merger”) as of 12:00 a.m. central ▇▇▇▇- dard time on January 1, 2021, or at such later time as the Parties may agree to specify in the Articles of Merger (the “Ef- fective Time”).
