Common use of Memorandum and Articles of Association Clause in Contracts

Memorandum and Articles of Association. Parent has heretofore furnished to the Company a complete and correct copy of the memorandum and articles of association of Parent, the memorandum and articles of association of Midco, and the memorandum and articles of association of Merger Sub, each as amended to date. Such memorandum and articles of association or equivalent organizational documents are in full force and effect. None of Parent, Midco or Merger Sub is in violation of any of the provisions of its memorandum and articles of association or equivalent organizational documents.

Memorandum and Articles of Association. Parent has heretofore furnished to the Company a complete and correct copy of the memorandum and articles of association of Parent, the memorandum and articles of association of Midco, Parent and the memorandum and articles of association of Merger Sub, each as amended to date. None of Parent, Midco Parent or Merger Sub is in violation of any of the provisions of its memorandum and articles of association or equivalent organizational documents.

Such memorandum and articles of association or equivalent organizational documents are in full force and effecteffect as of the date hereof. None Neither the Parent nor any Subsidiary of Parent, Midco or Merger Sub the Parent is in violation of any of the provisions of its memorandum and articles of association or equivalent organizational documentsdocuments in any material respect.

None of Parent, Midco or Neither Parent nor Merger Sub is in material violation of any of the provisions of its memorandum and articles of association or equivalent organizational documents.
