Materials Supplied by DPT Sample Clauses
The 'Materials Supplied by DPT' clause defines the responsibility of DPT to provide certain materials necessary for the completion of the project or services. This may include items such as equipment, documentation, or proprietary information that DPT must deliver to the other party, either at the outset or during the course of the agreement. Materials Supplied by DPT. DPT shall be responsible for supply, at the expense of COMPANY of all other commodities necessary for the manufacture of Products. All DPT supplied materials will be billed to COMPANY on the respective invoice for Product, into which the DPT supplied materials was converted, as part of the Materials Fee, and in addition to the Manufacturing Fee, all in accordance with the provisions of paragraph 2.8 below.
Materials Supplied by DPT. DPT shall be responsible for the supply, at the expense of COMPANY, of all other components necessary for the manufacture of Product. DPT will initiate required testing and release activities for Materials Supplied by the DPT so as not to delay the planned start of any batch manufacturing per the agreed production schedule. DPT will maintain released quantities of Materials Supplied by DPT in inventory to not delay the planned start of any batch manufacturing per the agreed production schedule. If the applicable Project Protocol requires that DPT utilize suppliers for raw materials and components that are not validated and approved DPT suppliers as of the Effective Date, then materials and components from such suppliers shall be treated as COMPANY-supplied materials. Unless supplier qualification services are part of the manufacturing services to be performed under a Project Protocol, DPT shall have no obligation to qualify new suppliers. All DPT-supplied materials will be billed to COMPANY on the respective invoice for Product, into which such DPT-supplied material was converted, as part of the Materials Fee.

If the applicable Specification requires that DPT utilize supplier(s) for raw materials and components that are not validated and approved DPT supplier(s) as of the Effective Date, then materials and components from such supplier(s) shall be treated as COMPANY-supplied materials until such time as DPT can, using commercially reasonable efforts, validate and approve such new supplier(s) at its earliest reasonable opportunity. Following such validation and approval, such materials and components will be treated as DPT-supplied. In the event that DPT is unable to validate and approve such new supplier(s), such products and materials will remain COMPANY-supplied for purposes of this Agreement. Any cost associated with validating and approving new supplier(s) borne by COMPANY if the new supplier(s) is only used to make Product, but shall be borne by DPT if used for other DPT customers’ products. Except as provided above, supplier qualification services are not part of the manufacturing services to be performed and DPT shall have no obligation to qualify new suppliers. All DPT-supplied materials will be billed to COMPANY on the respective invoice for Product, into which such DPT-supplied material was converted, as part of the Materials Fee.
